Barrister Hamna Zain is a Multi Award winning UK qualified Corporate Lawyer, with over 12 years of PQE, possessing varied and multi-disciplionary transactional and advisory experience in commercial, contracts, corporate, civil, and company law at international clients based in UK, USA, Australia, and Canada. She is excellent at contract drafting, vetting legal documents, rendering legal opinions, devising case strategies and ensuring legal compliance.

Barrister Hamna brings a specialized focus on global corporate law, delivering extensive legal services that encompass a wide array of agreements. From Technology Transfer, Software-as-a-Service (SaaS), and Intellectual Property (IP) Licensing, to Commercial Leasing and Mergers & Acquisitions, she provides comprehensive support to clients worldwide. As a trusted legal advisor, she works for numerous companies based in the United States, ensuring their operations are conducted in full compliance with applicable laws and regulations. With a keen emphasis on structuring and protecting their business interests, I strive to provide expert guidance and maintain the integrity of their corporate endeavors.

During her tenure as an in-house legal counsel of Wateen Telecom Limited,  Barrister Hamna played a pivotal role in drafting and vetting contracts, ensuring compliance with relevant laws and regulations in the telecom industry. She provided comprehensive legal advice and guidance to the company on various corporate matters, including those pertaining to the Pakistan Telecommunication Authority (PTA) laws, the Pakistan Electronic Media Regulatory Authority (PEMRA), and the Competition Commission of Pakistan (CCP). Additionally, She took charge of company secretarial matters, collaborating closely with the Securities and Exchange Commission of Pakistan (SECP) to ensure compliance with corporate governance requirements and regulatory filings.

She also served as  legal counsel for Coca Cola Beverages Pakistan Limited in Lahore, Pakistan. In this role, she provided comprehensive counsel on all corporate in-house legal matters. She offered expert opinions on a range of regulatory issues, including Food Laws, Competition Laws, Environmental Laws, and Health & Safety requirements. Her deep understanding of these legal domains allowed her to guide the company in navigating complex regulations and ensuring compliance. By offering strategic advice and analysis, she played a key role in safeguarding the company’s operations and protecting its interests in a challenging business environment.

At K Electric Limited, Barrister Hamna actively counseled the company in drafting and negotiating Power Purchase Agreements (PPAs). She played a crucial role in the development of renewable energy projects, specifically focusing on Solar, Wind, and Bio-Gas initiatives. Additionally, she was involved in the development, execution, and drafting of Request for Proposal (RFP) and Terms of Reference (TOR) for the Waste to Energy Project. Through her contributions, Barrister Hamna contributed to the growth and diversification of K Electric Limited’s energy portfolio while ensuring compliance with relevant legal and regulatory frameworks.

 

 

Barrister Hamna has achieved remarkable milestones throughout her career. She served as the Chairperson of the Legal Education Committee of the Punjab Bar, demonstrating her commitment to advancing legal education and professional development within the legal community. Additionally, she held the position of Chairperson of Judicial Reforms at the National Women Lawyers Society, where she contributed to shaping reforms in the judicial system. Barrister Hamna’s expertise in climate change law led her to participate in the Asia Pacific Judicial Colloquium as the Rapporteur of the Lahore High Court, further highlighting her dedication to environmental advocacy.

Her achievements also extend to receiving the prestigious UK Alumni Award Scholarship/Grant from the British Council in 2018, recognizing her outstanding accomplishments and contributions. Moreover, she was selected as a Future Leader Connect participant by the British Council, earning this honor from a competitive pool of over 1500 applicants from across Pakistan to share her ideas on global change.

Barrister Hamna represented the legal department of Coca Cola Beverages Pakistan Limited at the Annual Distributor Conference in Thailand in 2016, showcasing her ability to represent and advocate for corporate entities on an international stage. She also represented KESC at the 22nd World Energy Congress held in Daegu, South Korea, demonstrating her expertise in the energy sector. Additionally, she actively participated in the Honor Killing conference organized by the British Council in 2006, showcasing her commitment to raising awareness and addressing important social issues. These achievements reflect Barrister Hamna’s exceptional legal expertise and dedication to making a positive impact in the legal profession and society as a whole.
