A contract can in appropriate circumstances be formed, supplemented or varied through WhatsApp messages in Pakistan. Section 3 of the Electronic Transactions Ordinance, 2002 recognises electronic records and communications, while section 4 addresses satisfaction of writing requirements where records are accessible for later reference. However, recognition of electronic communications does not mean that any message exchanged between employees automatically amends every formal agreement.
A legally effective variation requires the elements applicable to the transaction: genuine agreement, authority of the persons communicating, sufficient certainty and compliance with any binding statutory formality or contractual amendment mechanism. Section 62 of the Contract Act, 1872 addresses substitution, rescission and alteration by agreement. Messages are evidence of a bargain, but their interpretation is fact-sensitive.
Start with the original agreement
Review the entire signed contract and identify its amendment clause, notice requirements, delegated authority and any requirement for a written instrument executed by named signatories.
Some commercial contracts permit changes through purchase orders and routine email instructions; others require board-approved change orders.
A contract saying modifications must be written and signed can create significant disputes over whether a later WhatsApp exchange satisfies or waives that condition.
Electronic recognition under section 3
Section 3 of the Electronic Transactions Ordinance prevents denial of legal recognition solely because a record or communication is electronic.
It does not supply missing agreement, legal capacity or lawful purpose. Nor does it make a disputed screenshot automatically authentic.
The court must still apply the relevant contract law and evidentiary principles to determine whether the parties reached a binding change.
Writing requirements under section 4
Section 4 addresses statutory writing requirements in relation to accessible electronic forms, subject to the Ordinance and exceptions.
A later WhatsApp message may therefore be capable of providing written evidence of a contractual term in a qualifying setting.
But the Ordinance does not simply replace the registration, attestation or special formalities required for every class of instrument.
Offer and acceptance
A message proposing a revised price is not necessarily a concluded amendment if the recipient merely acknowledges receipt or asks questions.
The wording and surrounding conduct should establish agreement to identifiable new terms.
A clear proposal followed by a clear acceptance from authorised officers presents a different case from an ambiguous message saying "we will see what can be done."
Authority of the sender
A project engineer may have authority to coordinate delivery but not to waive millions of rupees in delay damages.
A salesperson's personal assurance may not bind a corporation to an extraordinary contract variation without actual or legally recognised authority.
Identify the person's employment role, delegation, prior course of dealings and whether the company subsequently ratified the change lawfully.
Contractual no-variation clauses
The original document may specify that changes take effect only through a signed written change order.
Whether particular messages satisfy that clause or can otherwise create an enforceable variation requires analysis of its wording, the parties' conduct and applicable law.
The safest practice for significant changes is to issue the formal amendment required by the contract.
Section 62 and alteration
Section 62 of the Contract Act addresses cases where parties agree to substitute, rescind or alter an original contract.
The new bargain should specify what obligations change and what remains in force.
A message extending the date of delivery should not automatically be interpreted as waiving the buyer's separate rights concerning defects or warranties.
Consideration and contractual context
Pakistani contract principles concerning consideration and agreement may become relevant to the enforceability of a variation.
Some negotiated changes involve reciprocal adjustments to price and performance, while others involve waiver or remission under different statutory principles.
Counsel should identify the true legal character instead of assuming every variation must look identical.
Authentication of WhatsApp evidence
Preserve complete chat exports, device and account information, attached files and message timestamps.
A screenshot may omit deleted messages or preceding exchanges that substantially change interpretation.
Where authorship or editing is disputed, electronic forensics and the Qanun-e-Shahadat Order, 1984 may be relevant to proof.
Conduct after the exchange
A supplier who starts delivering according to the revised schedule, and a customer who knowingly accepts the new arrangement, may create additional evidence of agreement.
Subsequent invoices, delivery notes and payments can corroborate an electronic exchange.
However, acting provisionally to reduce loss does not necessarily establish acceptance of every alleged new term.
A price variation example
A contractor emails a signed quotation and receives a WhatsApp reply from the customer's authorised procurement manager approving a revised price for additional work.
The exchange may evidence a valid variation if all necessary contractual and statutory conditions are met.
If the original contract requires the managing director's signature for variations over Rs. 5 million, the absence of the necessary approval may be decisive.
Land transactions require caution
A conversation offering to sell immovable property does not automatically create an effective registered conveyance or satisfy every special property formality.
The Registration Act, 1908 and other applicable law may still require particular instruments and procedures.
The evidentiary value of an electronic promise must be separated from the legal mechanism for transferring title.
Avoiding disputes
Use a clearly worded formal change order specifying the original contract, clauses amended, effective date, price, timetable and authorising signatories.
Where email or messaging is used operationally, identify which communications can create binding commercial changes.
Require staff to preserve official channels and prohibit unauthorised contractual concessions.
Court procedure and burden
A party relying on a WhatsApp amendment must prove its authenticity and legal effect when disputed.
The opposing party may argue that the message was provisional, sent without authority or inconsistent with mandatory formality.
The court should assess the full commercial record rather than treat a single emoji or "OK" as conclusive without context.
Opinion and recommended course
WhatsApp communications can evidence an enforceable contractual modification under the Electronic Transactions Ordinance and Contract Act, but only where genuine, authorised agreement and applicable formalities are established.
Retain the complete conversation, verify the sender's authority and reduce material changes to a proper written amendment wherever possible.
