Stablecoins & Token IssuanceLEGAL ANALYSIS

Can a stablecoin issuer in Pakistan guarantee one-for-one redemption merely by maintaining a reserve?

The promise must be legally documented

A reserve is relevant, but displaying assets equal to outstanding tokens does not alone establish a holder's redemption entitlement. The issuance terms must identify who owes the obligation, the reference currency or asset, redemption procedure, charges, timing and lawful restrictions.

Fiat and asset references differ

PVARA's notified Activity Specific Regulations distinguish fiat-referenced and asset-referenced token issuance. Reserve composition, custody and valuation must be examined within the applicable category. The token's own marketing label cannot substitute for regulatory classification.

Stress and insolvency

A reserve can appear sufficient in ordinary conditions yet become illiquid during mass redemptions. Counsel should examine segregation, custody contracts, encumbrances and which person owns the holdings on issuer insolvency. A token balance is not automatically a proprietary claim over the reserves.

Regulatory permission

Issuance services fall within PVARA's licence framework. Separate payment, banking, foreign-exchange or securities issues may arise depending on the structure. An NOC is not itself a full licence, nor should an issuer imply that PVARA guarantees the token's value.

Practical records

Review the reserve policy, independently verifiable custodian records, token supply reconciliation, redemption terms, contractual hierarchy, licences and investor communications before making a one-to-one guarantee. The legally binding promise should be consistent with the technical and financial arrangements.
