Separate personality is not assumed
A decentralised autonomous organisation is a governance or technology description, not necessarily a legal entity recognised as a company. A token vote or multisignature treasury does not itself establish limited liability under Pakistani law.
Who actually acts for the project?
Analyse who signs contracts, holds property, controls upgrades, markets the token and receives fees. Depending on the facts, an incorporated company, contractual relationship or other organisation may be involved. Founders should not assume that publishing open-source code extinguishes obligations arising from their own conduct.
Financial regulation is activity-dependent
Some DAOs operate no customer-facing regulated service. Others may arrange exchange, lending, custody or investment activities. PVARA's framework concerns activities in or from Pakistan and specific licence categories. An on-chain interface is not an automatic exemption.
Documents and remedies
The governance instrument should identify authority, voting procedure, conflicts, treasury administration, dispute resolution and emergency powers. The customer terms should identify a legally accountable counterparty where one exists. Liability cannot be answered reliably from a token ticker or website alone.
Conclusion
A DAO's liability position requires a fact-specific analysis of organisational form, contract and conduct. Limited liability must be established by a valid legal structure rather than assumed from decentralised governance.
