Asset TokenisationLEGAL ANALYSIS

Does buying a blockchain token transfer legal ownership of land in Pakistan?

The essential distinction

Not automatically. A transfer recorded on a blockchain may record an agreement or a change in a digital register, but it does not itself dispense with legal requirements for transferring an interest in immovable property. The nature of the token holder's rights depends on the transaction documents and compliance with the applicable property, registration, stamp and land-record laws.

What the buyer may actually acquire

A scheme may give its participants direct title, shares in an entity which owns land, an interest held through another structure, or a contractual entitlement to rental income or future proceeds. These are materially different assets. It is misleading to describe every token holder as the registered owner of a fraction of a building where the registered title remains with a company or sponsor.

Why the land records matter

A buyer should examine the registered chain of title, boundaries, encumbrances, applicable local property rules and the instruments purporting to create or transfer the relevant interest. A token transfer cannot resolve a defect in the original title, displace a prior mortgage or prevent an owner from being subject to court orders. The project needs a legally credible method for keeping the digital and official records aligned.

Potential securities and regulatory issues

If tokens are sold to a broad investor base to finance a property venture and holders receive economic returns managed by a third party, the structure may involve securities or other investment regulation in addition to virtual-asset rules. Approval of a limited regulatory sandbox test elsewhere does not establish approval for every tokenised offering. Whether PVARA, SECP or another regime applies depends on the actual rights, operations and solicitation model.

Protecting token holders on failure

Before investing, ask who holds the property, who can sell it, whether there are secured creditors, what insolvency protections exist and what remedy follows if the platform becomes unavailable. The governing documents should explain transfer restrictions, valuation, distributions, fees, events of default and access to records. A technologically transferable token is not sufficient protection if legal recourse against the issuer or property vehicle is uncertain.

Practical approach

Obtain the complete token-holder agreement, property documents, entity structure, smart-contract terms, proposed marketing materials and all regulatory correspondence. The legal opinion should separate what the blockchain proves from what the ordinary law makes enforceable. Do not assume that a token is an unrestricted land deed or that a digital marketplace can cure missing registration requirements.
