Is a non-compete clause automatically enforceable in Pakistan?

A non-compete clause must be assessed under section 27 of the Contract Act, 1872.

Statutory rule

Agreements restricting lawful professions or trade are void to the relevant extent, subject to the statutory exception concerning sale of goodwill.

The legal effect of a covenant depends on its substance and timing. A promise not to disclose proprietary records is not identical to a promise never to work for another employer. The court should evaluate the actual wording, the employment relationship and the protected interest, rather than assume every clause headed "Non-Compete" is valid or invalid.

During employment

An employee may undertake to serve exclusively during the agreed period of service. A negative covenant during employment is assessed differently from a restriction continuing after the contract ends.

Such provisions must still be understood within the applicable employment law and standards of contractual fairness.

An employer cannot simply claim permanent control over a former employee's lawful professional development.

After termination

A covenant prohibiting work for all industry competitors for two years may be vulnerable as a restraint of trade under section 27.

The employer should not assume an agreed duration automatically makes the clause reasonable or enforceable. The statutory rule and Pakistani case law require distinct analysis.

The employee should nonetheless examine continuing duties that are independent of the broad employment ban.

Confidentiality protection

Customer databases, source code, internal pricing and genuine trade secrets may be subject to valid confidentiality obligations.

A former employee may not be entitled to exploit such information merely because a broad non-compete is invalid.

The company must identify the specific protected material, its confidential nature and evidence of threatened or actual misuse.

General knowledge and personal skill

An employee ordinarily retains skills, expertise and general industry experience developed during professional work.

The former employer cannot automatically treat every business contact as a permanently owned asset.

Distinguish unlawful copying of proprietary data from competing by using general personal knowledge.

Non-solicitation

Clauses restricting targeted solicitation of identified customers or employees need separate scrutiny. They are not universally enforceable merely because their heading differs from a non-compete.

Assess the relevant legal restriction, proof of actual solicitation and connection with a genuine interest.

The fact that a customer independently changes suppliers does not automatically establish that the former employee breached a duty.

Executive and specialist roles

Senior managers may possess more sensitive commercial information, and specialist employees may have access to manufacturing processes or customer strategies.

That may strengthen a narrow confidentiality claim, but it does not automatically justify barring all employment in a broad sector.

An employer should adopt documented access controls and specific NDAs.

The sale of goodwill exception

Section 27 contains a statutory exception concerning sale of goodwill under specified conditions.

An ordinary employee does not ordinarily sell the employer's goodwill simply by accepting wages. The exception should not be invoked without an actual qualifying transaction.

A founder selling a competing business may present a different case, requiring examination of the sale agreement and restriction.

Judicial interpretation

Pakistani courts have considered the distinction between negative covenants during service and restraints after termination, including in reported commercial injunction proceedings.

A Sindh High Court order in Suit No. 1788 of 2017 discusses section 27 and post-employment restraints. Its precise holding must be verified before it is cited as binding on a different contract.

Do not apply foreign reasonableness principles without first addressing the Pakistani statute.

Injunctions

Where a company proves a credible threat to disclose confidential information, it may consider a carefully confined injunction under the Specific Relief Act and Code of Civil Procedure.

The proposed order should identify what must not be used or disclosed. A prohibition on every lawful job may be overbroad.

Temporary relief requires a proper factual foundation and the applicable interim injunction test.

Civil damages

A company claiming financial loss from misuse should establish breach, causation and legally recoverable damage.

Lost customers can be caused by normal competition, market pricing or product quality rather than misuse of confidential records.

The employer should document particular transactions and avoid speculative multiplication of all customer lifetime values.

Criminal allegations

Unauthorised copying, access or interference involving data may separately engage PECA where its precise offence elements are established.

A criminal complaint should not be brought merely to force the employee out of a lawful new position.

The legal notice and any complaint should distinguish proved facts from suspicions.

A business example

A sales manager resigns and takes employment at another e-commerce business. The old contract prohibits any retail work for two years.

That broad restraint faces substantial enforceability questions under section 27. If the manager also exported a restricted customer database and used it for targeted solicitation, the employer may have independent confidentiality or data-misuse claims.

Evidence of the export and authority is essential to that separate case.

Drafting improvements

Employers should specify protected information and clearly identify obligations to return company records, preserve secrecy and avoid unauthorised use.

A proportionate confidentiality policy may be preferable to broad wording purporting to bar employment throughout Pakistan.

The parties should define exceptions for public information and independently developed skills where appropriate.

Settlement

A settlement may require return or verified deletion of company data, undertakings against further disclosure and a documented preservation process.

An employee may legitimately seek confirmation that ordinary professional employment remains permissible.

Avoid blanket releases that confuse outstanding salary, intellectual property and competition restraints.

Opinion and recommended course

Post-employment non-competes are not automatically enforceable and broad restrictions may be void under section 27. Confidentiality, misuse of proprietary records and restrictions during employment require separate legal analysis.

Review the actual covenant, employment status and evidence. The employer should protect genuine proprietary interests through precise obligations and remedies, not rely on an unsupported demand that the former employee stop working.

Principal authorities: Contract Act, 1872, section 27; Specific Relief Act, 1877; applicable Pakistani judicial authority on negative employment covenants and confidentiality; PECA only where independent electronic offences are established.

Distinguish client diversion from lawful competition

When a customer follows an employee to a new company, the employer should identify why the departure allegedly involved wrongful conduct. A former employee's professional reputation, personal relationships and general experience are not automatically property belonging to the original employer. In contrast, a retained confidential pricing file or a secret export of non-public customer purchasing histories can establish a materially different evidentiary case.

Document which customers were contacted, how their details were obtained and what messages were sent. A comparison of customer purchases before and after resignation alone does not necessarily establish breach. Review whether information was publicly available, whether customers approached the employee independently and whether any continuing lawful duty was actually violated.

The proper remedy should follow the proved conduct. A narrow confidentiality undertaking, return of identified files or prohibition on use of specified proprietary information may protect legitimate interests without imposing a general restraint on employment. Counsel should avoid asserting that every competitive sale is unlawful merely because the seller previously worked for the claimant.
