What are fit-and-proper requirements for directors of financial intermediaries?

Fit-and-proper requirements for directors of Pakistani financial intermediaries are regulatory eligibility standards intended to ensure that those directing licensed institutions have appropriate integrity, competence and financial soundness. The exact requirements differ across futures brokers, securities brokers, NBFCs, insurance intermediaries and other regulated businesses. There is no universally interchangeable fit-and-proper certificate that automatically qualifies a person for every SECP-licensed activity. An applicant must identify the licence class and current regulatory schedule and assess each proposed director individually.

Which regulatory framework applies?

A commodity futures broker falls within the Futures Market Act, 2016 and applicable futures broker regulations. An NBFC operates under the Non-Banking Finance Companies framework. Securities brokers have separate regulations and exchange obligations. The legal test can involve a particular annexure, definition or fit-and-proper schedule. A company should not apply a broker's director checklist to an asset management business without checking the applicable law.

Character and integrity

Regulators may evaluate honesty, regulatory history, criminal or fraud-related findings, sanctions and false statements. The standards depend on statutory wording and whether allegations are proved or merely pending. A director must disclose relevant matters accurately, including adverse orders within the prescribed scope. A blanket statement that no concerns exist can create difficulties if public filings reveal prior enforcement action. The applicant should distinguish disclosure from automatic disqualification.

Academic qualifications

Certain regimes prescribe educational thresholds or recognise professional qualifications. Requirements may apply to a specified number of directors rather than every board member, depending on the instrument. An applicant should obtain authentic degrees and assess recognised equivalence where necessary. A director's professional reputation does not necessarily dispense with a mandatory qualification. Conversely, the regulator must apply the actual rule rather than invent an additional minimum degree not required by law.

Relevant experience

Operational experience in brokerage, finance, risk, compliance or management may be material. The required years and nature of experience should be measured under the governing regulation, not the company's expectations. A CV stating "senior executive" without actual duties may be insufficient. An applicant should prepare a chronological history identifying employers, positions, supervisory functions and supporting evidence.

Chief executive versus director

The requirements for a chief executive officer can differ from those for non-executive directors. A company should not assume two qualified directors automatically satisfy a CEO-specific experience threshold. Equally, a fit-and-proper director cannot necessarily act as an unlicensed compliance officer simply because the person has relevant knowledge. Separate regulated offices should be reviewed and documented independently.

Financial soundness

Some tests examine bankruptcy, insolvency, disqualifying indebtedness or financial misconduct. The legal relevance of a default depends on the operative rule and actual status. A company should distinguish an ordinary commercial loan from wilful default or a regulatory finding where the test does so. Authentic banking and credit information may be required, but unnecessary private records should not be circulated without lawful reason.

Directorships and conflicts

Applicants may need to disclose current and former directorships, beneficial ownership and relationships with other licensed entities. The existence of another corporate appointment is not automatically disqualifying in every regime; the precise restriction matters. Competing interests or unlicensed related activities can require mitigation. A company should verify actual SECP company records and not rely solely on a director's informal recollection.

Regulatory history

Past licences, refusals, suspensions, penalties and investigations may be relevant according to the law. A candidate should disclose what the form lawfully requests and explain the status of unresolved matters. An SECP observation is not necessarily proof of disqualification, but concealing a reportable prior finding can become a separate integrity issue. Supporting orders and responses should be kept in the due diligence file.

Documentary evidence

A fit-and-proper submission may require declarations, identification, CV, qualifications, experience certificates and other specified documents. Names, dates and employers should match across the application. A gap between two appointments may need explanation without invention. A generic character certificate may not substitute for evidence expressly required under the regulations.

Verification by the company

The regulated applicant should conduct reasonable verification before proposing a director. This can include inspecting originals, SECP records, previous appointments and relevant disclosed enforcement history. A board resolution approving an appointment is not evidence that every regulatory criterion is met. Due diligence should be recorded and updated when material facts change.

Regulatory observations

SECP may question education, experience or conflicts and ask for clarification. Respond by quoting the operative requirement and supplying targeted evidence. If a criterion is genuinely not met, restructuring the board or proposing another candidate may be necessary. It is risky to claim compliance through strained interpretation without credible documents. A regulator should also not impose requirements unsupported by the actual regulation.

Changes after licensing

Fit-and-proper obligations may continue during the life of the licence. Resignation, loss of qualification or new regulatory findings can require notification and replacement. The company should not leave an ineligible officer nominally in charge while someone else performs duties informally. Governance records and regulator communications should accurately reflect the current management structure.

Independent directors and governance

Some entities have separate independence, composition or governance requirements. Being fit and proper does not necessarily establish independence under company law or a regulatory code. A director may be experienced and honest but closely connected to controlling shareholders. The applicant should assess independence, committee composition and fitness as separate conditions.

A futures broker example

A proposed broker appoints three directors, but only one has the prescribed relevant educational background and the CEO has insufficient senior management experience. Whether the application satisfies the particular annexure depends on the amended regulation. The firm should document exact qualifications and, where necessary, revise appointments. Vague assertions that the nominees are competent businessmen cannot replace specified requirements.

False declarations

A knowingly false statement can be a more serious concern than an openly disclosed remediable deficiency. Directors should review declarations personally before signing and should not delegate factual truth to an agent. Correct an error promptly through the regulator's authorised process. A document containing invented experience dates can jeopardise licensing and personal regulatory exposure.

Opinion and recommended course

Fit-and-proper assessment is licence-specific and person-specific. Obtain the operative SECP regulation, map each candidate against integrity, qualifications, experience, solvency and conflict requirements, and submit authentic supporting records. A transparent deficiency response and properly qualified board are preferable to reliance on an unverified general declaration.
