A merger or acquisition must be examined for notification to the Competition Commission of Pakistan (CCP) before the parties implement the transaction where the Competition Act, 2010 and the applicable merger-control regulations require pre-merger clearance. The word 'merger' is used broadly in competition law. It may encompass acquisition of control over a company, acquisition of significant assets, acquisition of voting shares or establishment of a qualifying joint venture. A transaction does not escape scrutiny simply because the lawyers describe it as an investment, reorganisation, strategic alliance or share purchase.
For a Pakistani transaction, the legal test involves the structure of the deal, the businesses of the parties, their assets and turnover, the transaction or asset value, the voting interest or control being acquired and any statutory exemptions. CCP's official guidance publishes numerical thresholds, but those figures must be checked against the operative regulations and amendments at signing. A formal filing analysis should be completed early enough to include competition clearance as a genuine condition precedent where required.
Start by identifying what is being acquired
Describe the legal and economic transaction precisely. Is one company buying all shares of another, a minority stake carrying vetoes, a division of an operating business, substantial productive assets, or joint control of a newly formed company? The legal description should include intermediate holding companies and any agreements that alter control.
A direct share transfer is not the only possible relevant acquisition. A purchaser may obtain the power to determine budgets, appoint management or exercise decisive influence through contracts or other arrangements. The parties should assess both formal voting rights and practical control. A transaction structured as several related steps should not be assumed to be outside merger control merely because each step is documented separately.
Joint ventures also require consideration. A temporary commercial collaboration may differ from an independently functioning joint venture under lasting joint control. The duration, decision-making power, contributed business and independent operating functions are relevant to classification.
The published Pakistani notification thresholds
CCP's published merger-control guidance describes financial screens and additional transaction or voting-right triggers under regulation 4 of the applicable merger regulations. Its guidance refers, among other tests, to gross assets of at least PKR 300 million or combined gross assets of at least PKR 1 billion, and annual turnover of at least PKR 500 million or combined annual turnover of at least PKR 1 billion. It also identifies a transaction or asset-value threshold of PKR 100 million, or acquisition of voting shares exceeding the specified 10 per cent trigger, as part of the regulatory test.
These figures should not be copied mechanically into a board paper without checking the complete and currently amended regulation. The threshold structure is not simply that any company with turnover over PKR 500 million must notify every transaction. The applicable combinations of conditions, calculation rules, parties and exemptions matter.
Prepare a written threshold worksheet showing the accounts used, relevant date, currency conversion if needed, calculation of combined figures and exactly which regulatory limb is satisfied. Where audited statements are old or financial statements cover a different group boundary, record the assumptions and request current information.
Calculate group assets and turnover correctly
The analysis should identify the correct 'undertakings' whose assets and turnover count. An acquiring company may belong to a larger corporate group. The target may also have subsidiaries or operating businesses held through several entities. Focusing only on the acquisition vehicle, which may have little revenue, risks overlooking relevant group activity.
Obtain the recent audited consolidated and entity-level financial statements, group chart, turnover breakdown and asset balances. Determine which numbers the regulations require: gross assets, combined assets, preceding-year turnover, combined turnover and transaction consideration should not be conflated.
Where a foreign acquirer is involved, do not assume that the absence of Pakistani incorporation disposes of jurisdiction. CCP's published guidance recognises transactions involving foreign entities where the parties do business in Pakistan, have relevant presence or where the transaction has an effect in Pakistan. The statutory territorial nexus and relevant facts must be considered.
Voting shares and control require separate analysis
A relatively small minority share acquisition may still require notification if the relevant statutory voting or control criteria are met. Assess shares to be acquired together with any existing voting shares held by the acquirer, associated agreements and rights that affect decision-making.
Consider voting, appointment, reserved-matter and veto rights. Some minority protections are designed to protect a passive investment; others may enable influence over strategic commercial conduct. The competition analysis should be grounded in the rights actually granted, not merely the heading 'minority investor protections' in the term sheet.
Options, convertible instruments and staged acquisitions can also affect the analysis. Identify when rights become exercisable or ownership and control actually change. A purchase of a convertible note today and conversion later should not be assumed to form one unregulated event without considering the applicable provisions and any intervening steps.
Determine whether an exemption applies
The merger-control regulations contain exemptions or special treatment for certain transactions. CCP's published guidance refers to circumstances involving increases in shareholding by holding companies in subsidiaries and related intra-group transactions. The precise conditions and exceptions must be read directly from the applicable regulation.
Parties often describe an internal reorganisation as a non-issue. That may be correct on particular facts, but a restructuring involving a new controller, an outside investor or movement of substantial assets between groups may require closer analysis. Prepare the before-and-after ownership chart and identify exactly why an exemption is said to apply.
Do not rely on an exemption by analogy. Where the relevant rule requires particular ownership or control relationships, those requirements should be evidenced. A conclusory sentence that 'no notification is required because this is a group transaction' may be indefensible if the corporate structure has been misunderstood.
Consider relevant markets and competitive effects
A notification analysis is not limited to accounting thresholds. The parties need to understand whether they compete directly, supply one another, operate at neighbouring distribution levels or possess data, infrastructure or other inputs important to competitors.
Identify the products and geographic markets likely to be affected, competitors, customers, market shares and barriers to entry. Consider whether the transaction could increase unilateral market power, facilitate coordinated conduct, foreclose rival access or create efficiencies that the parties can substantiate.
For example, acquisition of a small but innovative software provider by a large platform may raise questions beyond the target's current revenue. Similarly, a merger between firms operating in separate product lines may produce vertical effects where one controls an input used by competitors. These are case-specific competition questions, not conclusions that can be drawn merely from market labels.
Prepare the filing and evidence before seeking clearance
CCP publishes short- and long-form pre-merger application materials and regulatory guidance. The appropriate form and information requirements depend on the type of transaction and the Commission's procedures. The parties should not assume that a one-page notification accompanied by a signed term sheet is sufficient.
A filing package may require corporate documents, ownership details, transaction agreements, financial information, relevant markets, competitors, product descriptions, rationale for the transaction and evidence supporting claimed efficiencies or limited competitive effects. The precise current checklist must be verified from the applicable regulations and official CCP materials.
Ensure consistent figures across the application, audited accounts, board approvals and public announcements. If the seller and buyer use different definitions of turnover or refer to different corporate groups, reconcile them before filing. Unsupported estimates can complicate review.
Build conditions precedent into the transaction documents
If pre-merger approval is required, the sale or merger agreement should make satisfactory competition clearance a condition precedent to closing or implementation. Define which party prepares the application, supplies information, pays fees, handles questions from the Commission and agrees to any permissible remedy or commitment.
A 'hell or high water' obligation requiring a buyer to accept any remedy can be commercially significant. The parties should decide whether a purchaser must divest assets, accept behavioural commitments or bear a specified cost, rather than leaving the issue to argument after regulatory concerns arise.
Long-stop dates should accommodate a realistic regulatory timetable without promising a fixed approval period that is not grounded in the current process. Include obligations to preserve the target's ordinary business between signing and completion, while avoiding impermissible coordination between competitors before closing.
Avoid premature integration and improper information exchange
If the parties compete, due diligence itself may involve sensitive pricing, customer and strategic information. The fact that a transaction is contemplated does not give competitors unrestricted permission to coordinate present market behaviour.
Use appropriate confidentiality protections, limited access arrangements, clean teams or aggregated information where necessary. Do not allow the purchaser to run the target's business before the contractual and regulatory conditions for control have been met. Decisions on production, customers, prices or tenders should remain with the appropriate independent management until lawful completion.
The legal analysis must distinguish legitimate transaction planning from conduct that could itself raise competition concerns. A pre-signing data room can be structured to facilitate diligence without needlessly exposing competitively sensitive future plans to a rival.
What happens when notification is omitted?
Failure to make a mandatory notification may expose the parties to regulatory investigation and remedies under the Competition Act and applicable regulations. The consequences depend on the law and factual stage of the deal. An omission should not be treated as a harmless filing delay.
If the transaction has already been announced or partially implemented, obtain immediate advice on the relevant obligation and communicate with the authority through an appropriate and carefully prepared process. Preserve board papers, executed agreements and the history of the ownership change rather than attempting to recharacterise the deal retrospectively.
For a transaction not requiring notification, retain the signed legal threshold opinion and working papers. The conclusion should state the facts on which it depends and whether another trigger could arise from a later increase in shareholding, conversion of securities or change in control.
A worked approach to an acquisition
Suppose a domestic buyer intends to acquire 15 per cent of the voting shares in an operating company for PKR 120 million. The buyer and target have substantial turnover. That transaction cannot be dismissed as a passive minority investment without examining the regulation 4 financial conditions and voting threshold, as well as the rights attached to the shares.
Alternatively, suppose a holding company transfers wholly owned subsidiary shares among entities under common control. The applicable intra-group exemption may be relevant, but its conditions must be established with corporate records. The same parties could produce a different result if an outside fund acquires joint control at the same time.
These are examples of a method, not determinations on a real transaction. The relevant financial period, definitions, exemptions and precise terms can change the legal outcome.
Opinion and recommended next steps
A merger should be notified to CCP where it falls within the definition and jurisdictional reach of the Competition Act, meets the applicable merger-control notification thresholds and is not covered by an effective exemption. The calculation is transaction-specific and can capture share acquisitions, asset deals and qualifying joint ventures, including certain cross-border arrangements.
The practical order is to prepare a complete group and control chart, classify the transaction, test every applicable threshold using reliable financial data, examine exemptions and record the conclusion before signing or, at the latest, before the transaction reaches a stage at which clearance is legally necessary. If filing is required, include an appropriate condition precedent and manage competitive information carefully while the application proceeds.
The central point is that notifiability is a legal conclusion derived from the structure and economic facts of the deal. Neither the title of the agreement nor the parties' intention to call an acquisition a 'strategic investment' determines it.
Principal authorities for verification: Competition Act, 2010; Competition (Merger Control) Regulations, 2016 as amended; and the Competition Commission of Pakistan's published merger-control guidance, forms and current procedural directions. The published financial and voting thresholds should always be rechecked against the consolidated regulations in force at the proposed transaction date.
