Change of Registered Office

A registered-office change requires the correct SECP filing route: Form-21, and sometimes a special resolution or Commission confirmation.

Service overview

A registered office is the statutory address at which a Pakistani company receives notices and communications. Changing it is not the same transaction as moving a sales outlet, opening a branch, changing a director’s residential address or moving the books of account. The Companies Act, 2017 makes the registered office a corporate-law obligation; the route depends on whether the company moves within a city, between cities in one province, or across a provincial or Islamabad Capital Territory boundary.

The central rule is section 21: a company must notify its registered office within thirty days of incorporation if the address was not already provided, and must notify a subsequent change in the prescribed form within fifteen days after the change. For a move between cities within one province, section 21(2) additionally requires a special resolution in general meeting. For a move between provinces, or between a province and Islamabad Capital Territory, the company must consider section 32: a special resolution, alteration of the memorandum and confirmation by the Securities and Exchange Commission of Pakistan (SECP) on petition are distinct requirements.

Form-21, prescribed under the Companies Regulations, 2024, is the principal notice of the registered-office address. Form-26 is the special-resolution return where a special resolution is required. The precise statutory route must be identified before submitting either form. A company should not represent a new address as formally registered merely because its board approved a move, a lease was signed or an online application was saved as a draft.

This guide addresses companies incorporated under the Companies Act, 2017. Foreign companies operating through registered branches or liaison offices, limited liability partnerships, partnerships and other legal forms have different registers and filing requirements. A regulated company may also need separate approval or intimation under its sector licence. The steps below concern corporate filing; they do not substitute for premises, municipal, tax or sectoral authorisations.

02

Which registered-office change procedure applies?

Which route applies to the move?

  • Same city, different premises: section 21 notice through Form-21 ordinarily governs the change. Check the articles, board delegation and any sector licence for internal or regulator approvals; do not assume that every same-city move requires a members’ special resolution.
  • One city to another within the same province: section 21(2) expressly requires approval in general meeting through special resolution. File Form-26 to record the resolution and Form-21 to notify the address. The Form-21 enclosure requires evidence of the Form-26 filing for this category.
  • Province to another province or Islamabad Capital Territory, and vice versa: section 32(1)(a) concerns alteration of the memorandum and requires a special resolution; section 32(2) requires SECP confirmation on petition before the alteration takes effect. The application and evidence are more extensive than a routine Form-21 filing.
  • Transfer involving a part of Pakistan not forming part of a province: the section 21 and section 32 wording contains separate territorial categories. Confirm the precise legal classification of the existing and proposed location; do not equate all district, city, provincial and CRO-jurisdiction changes.
  • Initial registered office after incorporation: where the address was not supplied at incorporation, section 21(1) permits notification within thirty days. This is not the fifteen-day period for a later change.
  • Books of account at another address: section 220(1) permits the board to choose another place in Pakistan for books; notice must be filed within seven days of that decision. Form-21 has a distinct Part-III for this event. It does not itself change the registered office.

Applicant and entity distinctions

Private companies, single-member companies, public companies and section 42 not-for-profit companies are within the corporate registered-office framework, subject to their own governance arrangements and licence conditions. A single-member company should record its sole member’s decision where the law requires member approval. Public, listed and regulated companies should separately review board governance, exchange disclosures, licence terms and address-based permissions. A foreign company’s Pakistan branch or liaison office instead follows the foreign-company alterations regime, including Form-5 where applicable; the parent’s registered office in its home country is not the Pakistani company Form-21 process.

The statutory address must be sufficiently specific to receive service. Form-21 requests identifiable premises or building details, street, road, locality, town and postal area where applicable, together with the effective date. A mere city name or informal correspondence address is not a substitute for the prescribed particulars.

03

Documents and conditional approvals

Begin with a route-specific filing file. The list below distinguishes statutory enclosures from prudent supporting evidence. A document commonly collected for due diligence, such as a tenancy agreement, should not be described as a universal Form-21 enclosure unless the current prescribed form, an applicable regulation or the registrar requires it.

  • Core company details: exact registered name, corporate unique identification number (CUIN), existing registered-office address, full proposed address, date on which the move becomes effective and current authorised signatory details.
  • Form-21: complete Part-I and Part-II for the registered office; use Part-III separately if notifying books of account kept elsewhere. Ensure the effective date agrees with the corporate decision and actual relocation.
  • Same-city move: keep the internal board or other corporate authority for the move, as required by the articles and delegations, together with practical evidence of the right to use the new premises. A special resolution is not automatically imposed by section 21 for every same-city move.
  • Inter-city move within a province: members’ special resolution, Form-26 and evidence that Form-26 has been filed; the current Form-21 specifies this evidence as an enclosure.
  • Inter-provincial or ICT move: special resolution, proposed amended memorandum, section 32 petition and supporting grounds, affected-member or creditor information and consents or notices as required by the Commission’s directions and the circumstances. Retain the Commission’s confirmation order and later registered memorandum.
  • Books-of-account address: board resolution specifying the alternate location and notice within seven days. The current Form-21 lists a copy of the board resolution for this separate filing.
  • Conditional sector evidence: permission, no-objection certificate, licence variation or regulator intimation where the company’s governing licence, concession, premises approval or other applicable law requires it.
  • Fee evidence: the applicable filing fee under the current Seventh Schedule, with challan or payment evidence where required for the chosen submission channel; the Form-21 notes that original challan evidence is not applicable to online filing.

For a cross-border move of the registered office within Pakistan, assemble an accurate creditor schedule and assess the effect on service, employee records, contracts, pending proceedings, securities and licences. Section 34 directs the Commission to have regard to the interests of members and creditors when exercising its confirmation powers. The form of petition and supporting material should be checked with the competent SECP office for the specific case; a generic online address-change screen does not replace a statutory petition.

If the proposed premises are shared, virtual, leased or managed by a third party, verify that the company can reliably receive notices there and comply with any record-inspection requirements. A premises agreement or owner’s consent may be important evidence in a disputed or regulated case, but do not misstate it as a mandatory attachment for every Form-21.

04

Step-by-step filing procedure

  1. 01
    Classify the proposed relocation

Compare the old and new addresses at the city, province, Islamabad Capital Territory and relevant Company Registration Office levels. Determine whether the transaction is only an address notification, a section 21 inter-city special-resolution matter or a section 32 memorandum alteration requiring SECP confirmation. Identify any concurrent change to the location of accounting records.

  2. 02
Check the constitution and sector approvals

Review the company’s memorandum, articles, board delegations and any licence or statutory restriction. For regulated entities, obtain or arrange any approval required by the particular regulator before treating the move as effective under that regime. The Companies Act procedure alone does not amend a banking, securities, insurance or other sector licence.

  3. 03
    Approve the correct corporate act

For a same-city change, document the authorised internal decision under the articles. For a change between cities within a province, obtain the members’ special resolution required by section 21(2). For a section 32 territorial transfer, approve alteration of the memorandum by special resolution and prepare the confirmation petition; do not treat the resolution alone as an effective memorandum amendment.

  4. 04
    File special-resolution particulars where applicable

Where a special resolution is passed, lodge Form-26 within the fifteen-day period under section 150 and retain the acknowledgment. Ensure the resolution and meeting notice properly describe the territorial move. For a Form-21 inter-city filing, attach the prescribed evidence of the Form-26 filing.

  5. 05
Obtain SECP confirmation for section 32 transfers

For a move between provinces, or between a province and ICT, submit the statutory petition and supporting evidence to the Commission. Section 32(2) makes Commission confirmation a condition of the alteration taking effect. The Commission may impose terms, and section 34 requires attention to members’ and creditors’ interests. Do not move directly to an ordinary address-only filing as though this confirmation were optional.

  6. 06
Register the altered memorandum and notify the new address

Under section 32(4), file the memorandum as altered pursuant to the confirmation order within thirty days of that order, subject to any extension granted under the statute. Separately ensure the Form-21 notice of the changed registered-office situation is filed within the section 21(2) fifteen-day period measured from the effective change. Preserve both legal milestones and reconcile the effective date with the Commission order.

  7. 07
Submit Form-21 through the current filing channel

Use the current SECP eZfile process where available, select the appropriate post-incorporation change request, enter the full address and effective date, upload conditional documents and complete authorised electronic verification and payment. SECP’s older eServices page describes a legacy interface and bank-challan sequence; it is useful background, not proof that those exact screens or payment steps remain current.

  8. 08
Resolve queries and retain the accepted record

Monitor the portal for registrar objections, additional documentary requirements and filing status. Save the signed resolution, payment evidence, submission receipt, Form-21 acceptance, Form-26 evidence and any section 32 confirmation and amended memorandum. A portal draft, a payment receipt and an accepted statutory return are different records.

  9. 09
    Update downstream registers and counterparties

Amend company stationery, official publications and website address disclosures under section 22, and notify FBR, relevant provincial tax authorities, banks, counterparties, employers’ registration bodies, licensing regulators and service providers where applicable. Maintain a forwarding arrangement to avoid missed legal notices during the transition.

05

Post-filing obligations and deadlines

After the registrar records the move

Confirm the registered-office particulars shown on the SECP company record. Keep the complete filing trail in the company’s statutory records, including the effective date and the person who authorised the submission. For a transfer between Company Registration Office jurisdictions, section 32(5) addresses transfer of the physical record; regulation 74 provides for the registrar concerned to send the record within seven days from registration of relevant returns. This administrative record-transfer provision is not a guaranteed end-to-end company processing time.

Section 22 requires display of the company’s name and incorporation number at the registered office and requires registered-office particulars on company letterheads and official documents. Update templates and public notices promptly. Ensure the new premises can receive legal correspondence and support any inspection rights; retain an appropriate transition record for notices arriving at the former address.

Accounts, tax and regulated premises

Do not assume that moving the registered office automatically moves the books of account. Section 220 permits books at another place in Pakistan where the board so decides, but a separate notice within seven days is required. If the company actually moves accounting records as well, check whether Part-III of Form-21 is required. Tax registrations and provincial sales-tax or professional registrations may contain distinct address-update workflows; they are not discharged by Form-21.

Review banks’ know-your-customer records, licences, provincial labour and establishment registrations, municipal permissions, data-processing or records-location commitments, leases, insurance and litigation service addresses. Where the company is a public or regulated entity, check whether a market disclosure, no-objection or prior approval applies. Keep these obligations separate from the corporate filing so that one accepted return is not misrepresented as comprehensive regulatory clearance.

Fees, timing and legal updates

The statute supplies the thirty-day initial address period, fifteen-day change notice, fifteen-day special-resolution return, section 32 thirty-day amended-memorandum filing and section 220 seven-day books-location notice. They are not estimates of how long SECP will process an application. The filing charge depends on the transaction and the current Seventh Schedule and portal calculation; no fixed rupee amount is asserted here because a current transaction-specific official calculation has not been independently established.

SECP’s enacted S.R.O. 1974(I)/2026, dated 26 October 2026, changes the definition of ‘registrar concerned’ in regulation 2(1), including a Commission-designated registrar for special categories. It does not itself replace section 21, section 32 or Form-21. Proposed amendments circulated for consultation must not be treated as enacted requirements unless a subsequent final notification is found.

Statutory sources and reconciliation

Primary-source reconciliation and common filing errors

The operative legal sequence is anchored in sections 21, 22, 32–34, 150 and 220 of the Companies Act, 2017, and Form-21 in the Companies Regulations, 2024. The SECP post-incorporation requirements booklet provides a useful event-based matrix: same-city changes require Form-21; inter-city moves within one province add Form-26; inter-provincial and ICT transfers require the memorandum-alteration and Commission-petition route. The booklet is a procedural aid, not a substitute for the Act where dates or terminology differ.

The current Form-21 includes a separate section for keeping books of account away from the registered office, reflecting the 26 March 2025 amendment. The notice expressly asks for the old and new addresses, effective date and relevant attachments. The form’s inter-city enclosure concerns evidence of filing Form-26, rather than a universal requirement to attach the same resolution for every type of move.

A frequent error is to file a simple address-change return for a cross-province move without a section 32 petition and confirmation. Another is to cite the fifteen-day registered-office notice deadline for the separate seven-day notice under section 220. A third is to treat an old eServices workflow or fee schedule as the current eZfile interface. The statutory deadline, prescribed form, current portal route and any sector-specific permission should each be checked independently.

The Pakistan Code copy of the Companies Act used for this review states that it was updated through 7 October 2022. Later instruments must therefore be checked separately. The SECP Companies Regulations compilation published in April 2026 consolidates amendments through 25 July 2025; the later enacted October 2026 notification was checked separately. A draft is not a final notification.

Frequently asked questions about registered-office changes

Does a company need a special resolution for every office move?

No. Section 21 requires a special resolution for a move from one city to another within a province. A same-city address change is ordinarily notified on Form-21, subject to the company's constitution and sector-specific conditions. Cross-provincial or ICT moves invoke section 32.

What is the deadline for Form-21 after changing the registered office?

Section 21(2) requires notice of a change to the registrar in the specified form within fifteen days after the change. Initial notification where no registered-office address was provided at incorporation has a separate thirty-day period under section 21(1).

What additional steps apply when moving to another province or Islamabad?

Section 32 requires a special resolution, alteration of the memorandum and SECP confirmation on petition before the alteration takes effect. The altered memorandum must be filed within thirty days of the order, subject to statutory extension. Form-21 and any Form-26 filing must also be addressed.

Is moving the accounting records the same as moving the registered office?

No. Section 220 permits books of account at another place in Pakistan following a board decision and requires notice within seven days. Form-21 Part-III deals with this separate event; Part-II deals with the registered-office address.

What does the filing cost and how long will it take?

The applicable fee must be checked against the current Seventh Schedule and the transaction shown in the SECP portal. The statutory filing periods are not guaranteed processing times, and no fixed SECP turnaround is promised.

Does a foreign company use the same registered-office filing?

Not necessarily. A foreign company's Pakistan branch or liaison-office particulars and alterations fall under the foreign-company regime, including Form-5 where applicable. Confirm the relevant BOI permission and the foreign-company filing category rather than using a Pakistani-incorporated company Form-21 by default.
