Company Easy Exit: eligibility, EE forms and statutory objection process

Primary-source research note. The following procedural analysis is based on the identified government or regulator sources. Confirm enacted amendments, applicable forms, fees and filing requirements on the date of submission. A consultation draft is not operative law merely because it has been published. This note does not represent final legal-editor certification of the entire guide.

Easy Exit is not general liquidation

Section 426 of the Companies Act, 2017 provides a route for eligible defunct companies that have ceased operations and no known assets or liabilities. SECP's 2026 portal announcement confirms an online Easy Exit procedure. A company with disputes, outstanding loans, unpaid taxes, pending investigations or significant assets should not assume it qualifies simply because shareholders want it closed.

Screen the exclusions

SECP's Easy Exit guidance lists exclusions including foreign companies, subsidiaries of listed companies, certain trade organisations, housing or real-estate development businesses, companies with pending matters or management/shareholder disputes and companies with outstanding liabilities. Check the latest effective rules and the actual company's books, taxes, bank liabilities, claims and employment obligations before signing a declaration.

Prescribed EE documents

SECP lists Easy Exit Forms EE-I (application), EE-II (members' resolution), EE-III (declaration and indemnity) and EE-IV (auditors' certificate). Assemble these with the competent signatures, authorisations and supporting evidence, and check the portal's current acceptance requirements. The regulator's page quotes certain historic online/manual fees; confirm the current Seventh Schedule before requesting payment.

Dissolution and retained liability

An application is not immediate dissolution. The registrar's publication and objection procedure must be completed and the final strike-off status established. Maintain the source records, filings and creditor/tax evidence; inappropriate or false no-liability declarations can expose officers and members to consequences. If the company has material assets or obligations, examine formal winding up instead.
