Corporate mergers and schemes: sections 279 and 284 are distinct routes
Primary-source research note. The following procedural analysis is based on the identified government or regulator sources. Confirm enacted amendments, applicable forms, fees and filing requirements on the date of submission. A consultation draft is not operative law merely because it has been published. This note does not represent final legal-editor certification of the entire guide.
Choose the statutory mechanism
A scheme of arrangement or reconstruction under the Companies Act, 2017 is not the same as the simplified group amalgamation route. SECP's 2025 mergers and winding-up FAQ distinguishes schemes under sections 279–282 from amalgamation under section 284 for eligible wholly owned structures. The choice affects consent, court or Commission jurisdiction, creditors, implementation and required forms.
Assess eligibility for section 284
SECP states section 284 may apply where a company and its directly or indirectly wholly owned company or two companies owned by the same persons meet the statutory structure. Its FAQ identifies Form 8 and a supporting scheme filed with the registrar, and lists board resolutions, recent audited accounts, secured creditor information and consents, and an affidavit concerning the transferee's ability to pay debts. Do not use that path for a merger merely because the parties have common directors.
Complex schemes and approvals
For other arrangements, assess statutory meetings, necessary special resolutions, relevant court or Commission sanction, creditor classes, financing covenants and regulatory permissions. Deal with competition, securities, tax, property transfer, employee and licence issues according to the transaction. The scheme documentation should set out consideration, asset and liability vesting, dates and implementation contingencies.
Implementation and filings
Obtain the final order or confirmation for the chosen mechanism and file prescribed certified instruments and registrar forms. Reconcile corporate registers, cancelled or issued shares, beneficial ownership, tax records, charges, licences and contractual rights. A transaction timetable should be built around the actual statute and authority, not a single generic merger filing checklist.
