Service overview
Foreign companies operating in Pakistan must record applicable changes to their parent or local representation.
The underlying corporate action and the filing are separate steps. The requisite corporate resolution, register entry or transaction documentation must be legally effective, and notifications must use the current statutory form.
When does Foreign Company Particulars and Changes apply?
Check whether changes to name, directors, constitutional documents, registered office or local authorised officer trigger Pakistani filings.
The foreign corporation must already be appropriately registered or liable to register in Pakistan, and its relevant change must fall among the reportable foreign-company particulars under current SECP forms.

Separate foreign-company registration from a local subsidiary
A foreign corporation operating through a branch or another place of business in Pakistan is not the same legal structure as a Pakistan-incorporated subsidiary. SECP's foreign-company statutory forms identify Form 2 for original registration of a foreign company's documents and Form 5 for alterations of its registered documents or details. The parent's legal status and local authorised person must be considered together.
Classify the reportable alteration
Review whether the foreign parent changed its constitutional documents, directors or secretary, registered office, Pakistan business address, authorised local agent or other particulars subject to the Companies Act, 2017. Assemble certified records from the home jurisdiction, translations or authentication when required, and matching local authority documents. A parent-board reorganisation may trigger several distinct forms and notifications.
File through the foreign-company procedure
The SECP foreign-company forms catalogue lists Form 5 for alterations and Form 6 for cessation of all places of business in Pakistan. Use the effective Companies Regulations, 2024 and confirm whether the relevant update is an alteration, annual return, financial-statement filing or cessation. Do not use an ordinary Pakistani company's Form 9 to substitute for the entire foreign-company filing regime.
Preserve annual and operating compliance
SECP's annual-returns guide refers to section 437 and the former Form 45 for foreign-company annual reporting; reconcile the relevant forms with the current foreign-company schedule and regulatory amendments. Consider tax, employment, foreign-exchange and any BOI branch or liaison permission renewals separately. Maintain the parent documents, Pakistan authorised-person record and historic change filings.
