Service overview
A trademark assignment changes the registered ownership or interest and should be recorded with the Registry.
Trademark, copyright, patent and design rights have distinct subsistence, filing, examination, opposition and renewal rules. Filing one form of right does not automatically protect every aspect of a product or brand.
Who is eligible for Trademark Assignment and Recordal?
Check the assignor's title, the scope of marks being transferred and whether a deed or supporting consent is necessary.
The transferor must own or have authority over the mark and the deed must identify the correct marks and scope. Recordal cannot cure a defective underlying chain of ownership.

Trademark assignments: written instrument and transaction record
Primary-source research note. The following procedural analysis is based on the identified government or regulator sources. Confirm enacted amendments, applicable forms, fees and filing requirements on the date of submission. A consultation draft is not operative law merely because it has been published. This note does not represent final legal-editor certification of the entire guide.
Transaction types differ
Sections 69 and 70 of the Trade Marks Ordinance, 2001 address assignment and recordal of registered trademark transactions. A registered mark may be assigned with or without goodwill and may be partially assigned for goods, services or territorial use in the circumstances described by statute. A trademark licence and a security interest are other registrable transactions; the correct instrument depends on the actual parties' rights.
Written execution and substantive rights
Section 69 requires an assignment to be in writing signed by or on behalf of the assignor. Identify the correct registered proprietor, assignor and assignee, affected mark numbers and classes, consideration and intended goodwill or business transfer, and consider restrictions on deceptively confusing assignments or other third-party rights.
Apply for recordal
Section 70 makes the prescribed transaction particulars registrable with the Trade Marks Registry and gives consequences if they are not recorded, including difficulties as against conflicting purchasers without notice. The 2004 Rules prescribe the application and evidence process. Review the applicable form, executed instrument, corporate authorities and certified extracts before submission.
Update the IP portfolio
Record pending as well as registered marks where relevant, trademarks licensed to distributors, renewal ownership, domain names, packaging and related contracts. Do not assume an assignment of company shares automatically assigns a mark owned by a different legal person. Preserve the final registry acceptance and dated instrument.
