A project rarely proceeds exactly as the parties envisaged at signing. Deliverables change, specifications are refined, supply chains fail and managers agree additional work over email or messaging applications. The dispute begins when the supplier claims payment for the variation and the customer says the employee who instructed it had no authority. Pakistani contract law does not make commercial improvisation a substitute for clear agreement. The question is what was authorised, by whom, on what terms, and what conduct followed after the alleged change.
Contractual authority is the first issue
A change-control clause should identify the representatives authorised to vary scope, price and deadlines. Authority to supervise technical performance is not invariably authority to spend the customer's money or waive contractual rights. Internal approval limits, delegation letters and board resolutions should be checked against the actual agreement. Where a supplier relies on informal directions, correspondence and subsequent performance may become relevant to questions of acceptance, representation or waiver, but cannot be presumed to displace every mandatory contractual requirement or public-law restriction on the customer.
Price, time and interface consequences
A variation should address more than its immediate cost. Additional software functionality may change testing, integration, cybersecurity commitments, acceptance milestones and post-delivery maintenance. A construction or equipment modification may affect warranties and the critical path. The variation order needs a priced description of the change, assumptions, excluded work and a clear decision on extension of time. If the supplier reserves entitlement to further delay or disruption costs, the reservation should be express rather than hidden in a general statement that all contractual rights are preserved.
What no-oral-modification clauses achieve
Clauses requiring signed writing provide valuable evidential discipline, particularly in multi-party projects. Yet a party's later conduct may raise distinct issues of waiver, estoppel or variation depending on the contract and applicable law. Courts will examine the document, the nature of the alleged alteration and the evidence rather than assuming every project email created a binding supplemental contract. Electronic communications should be preserved with metadata and an identifiable chain of approval. An unsigned spreadsheet showing a proposed price is weaker evidence than a clearly authorised change order identifying the revised contractual obligations.
Managing disputed instructions in real time
A contractor should promptly identify the instruction, requested scope, price and expected effect on performance. The customer should respond through the prescribed representative and make clear whether the work is authorised, rejected or required pending valuation under the contract. If urgent work cannot await final agreement, an interim written instruction can state how costs will be recorded and valued. Silent continuation, followed by a large consolidated claim months later, makes causation and reasonable cost more difficult to establish.
Remedies depend on proof of entitlement
The Contract Act, 1872 remains relevant to formation, performance and compensation. In a contested claim, an invoice is evidence of a demand, not proof that the customer agreed its legal basis. The claimant should connect each item of work to an instruction, actual execution, acceptance and contractual or other legally established valuation. Conversely, a customer resisting a claim must explain why it accepted the benefit without approving the financial consequence. Contractual dispute boards, expert determination, arbitration or civil proceedings may apply depending on the agreed forum.
Points to establish from the record
- Delegation of authority and named change-control signatories
- contemporaneous change orders and correspondence
- revised price and schedule calculations
- deliverable acceptance and testing records
- notice and dispute-resolution requirements
Practical conclusion
A variation clause works only when project personnel use it. The least contentious record is a contemporaneous instruction that states who authorised the work, what will change and how the parties will account for cost and delay. Both sides benefit from resolving that issue while performance is underway.
