An acquisition price stated in a share purchase agreement is not necessarily the price that the purchaser ultimately pays. Cash, debt, unpaid tax, related-party balances and payments to sellers between signing and completion can materially alter the business acquired. Pakistani private-company transactions commonly depend on accounts prepared by the target itself, with differing accounting policies and incomplete reconciliations. A pricing mechanism should therefore be treated as a negotiated allocation of financial risk, not merely a schedule to be completed by accountants after the commercial terms are agreed.
The economic difference between the two methods
Completion accounts measure agreed financial variables at closing and adjust the price against a specified benchmark. They are appropriate when working capital is volatile or significant liabilities may arise before control passes. A locked-box arrangement fixes the price by reference to historical accounts and ordinarily prohibits value leaving the company for the benefit of sellers, save for expressly permitted leakage. It shifts the commercial emphasis from an adjustment exercise to warranties concerning the accounts, the locked-box date and the conduct of the business during the intervening period.
Define the numbers before drafting the formula
The agreement needs clear definitions of cash, indebtedness, normalised working capital and transaction expenses. Shareholder loans, unpaid dividends, income-tax provisions, customer deposits, guarantees and intra-group charges should not be left to inference. A business may appear cash-rich while owing material sums for goods not yet delivered. The relevant accounting standards, consistency with past practice and hierarchy between specific contractual policies and statutory accounts must be identified. Without those rules, parties can agree a formula but later dispute every component of the figures inserted into it.
Leakage and ordinary-course protections
A locked box will be ineffective unless restricted leakage is framed broadly enough to catch indirect transfers: management bonuses linked to the sale, exceptional service fees, settlement of shareholder balances, asset sales below value or assumption of liabilities for connected persons. Ordinary salaries, market-rate trading and properly declared distributions may need express permitted-leakage treatment. In completion-account transactions, interim covenants should guard against extraordinary borrowing, accelerated collections, postponed creditor payments and other balance-sheet management intended to affect the closing adjustment rather than operating value.
Accounts disputes and procedural finality
The purchaser should receive access to accounting records, underlying ledgers and relevant management explanations, subject to confidentiality and data restrictions. A draft closing statement should have a defined delivery date, objection period and method for resolving disputed items. It is usually more coherent to refer accounting determinations to an independent expert while preserving genuine contractual or fraud disputes for the agreed court or tribunal. The agreement should identify which items become final and binding, how expert costs are borne and whether disputed sums remain withheld or are secured pending resolution.
Pakistani corporate and tax considerations
The pricing schedule cannot displace the Companies Act, 2017 requirements for valid share transfers, approvals, corporate records and filings where applicable. A separate tax analysis is needed for disposal gains, withholding obligations, transaction expenses and the treatment of shareholder debt. In regulated sectors, the purchase agreement should make the requisite consent a condition rather than assuming that a price adjustment compensates for a missing approval. Completion mechanics, payment routing and tax allocation must be consistent with the actual ownership structure, especially where a foreign purchaser or seller is involved.
Points to establish from the record
- Board and shareholder approvals required for the transfer
- independently reviewed reference accounts and supporting ledgers
- related-party transactions and permitted-leakage schedule
- price-adjustment objections and expert-determination timetable
- payment security and tax allocation at completion
Practical conclusion
The most expensive pricing disputes usually concern matters that were visible at due diligence but not translated into definitions. Parties should settle the accounting principles and access rights before agreeing that a particular price mechanism is simple. A method that accurately captures business value is more useful than one that appears convenient at signing.

Illustrative calculation: from enterprise value to the cheque
Consider an illustrative transaction in which the parties value the enterprise at PKR 100 million and agree to adjust for cash and indebtedness at closing. If qualifying cash is PKR 15 million and debt-like items total PKR 40 million, the equity value begins at PKR 75 million before working-capital adjustment. If the agreement requires normalised working capital of PKR 18 million but the closing calculation shows only PKR 10 million, a shortfall of PKR 8 million may reduce the amount to PKR 67 million. These figures are examples, not a statement of market practice or a prescribed legal formula. The negotiated definitions determine whether an item belongs in cash, debt or working capital and prevent double counting.
Disputes over the classification of a single liability
Suppose the target has unpaid corporate income tax of PKR 6 million relating to the period before completion. If the price adjustment treats that amount as indebtedness and also reduces working capital by the same liability, the purchaser may seek two reductions for one economic burden. If it is excluded from both categories, the purchaser may inherit a liability that the sellers assumed they had already borne. The agreement should allocate the item expressly, specify the tax-period cut-off and decide who controls dealings with the tax authority after closing. The allocation may differ where a separate tax indemnity covers pre-completion liabilities; a carefully defined indemnity is not the same as an open-ended second adjustment to the purchase price.
The completion statement and objection timetable
The closing accounts mechanism should identify the preparer, format, accounting reference policies and access arrangements. It should specify when the first statement is delivered, the purchaser or seller's period to object, and the information necessary to make a valid objection. An objection should identify each disputed entry and proposed amount rather than simply state that the accounts are unacceptable. The scope of an independent accountant's determination should ordinarily be limited to identified accounting questions. Issues of interpretation, misrepresentation or fraud may require resolution through the contractual dispute mechanism instead. The expert's mandate, procedural fairness and evidential access should be settled before any disagreement arises.
Due diligence issues to resolve before exclusivity ends
The legal and financial teams should reconcile related-party ledger balances, cash held in restricted accounts, employee bonus arrangements, tax exposures and liabilities arising from warranties or major contracts. They should establish whether interim trading has been normal, whether dividends or director charges have been authorised, and who owns any intellectual property that influences valuation. An acquisition dependent on regulatory approval requires an agreed treatment of intervening financial performance if approval is delayed. The purchaser should also assess whether the target's information systems can generate the completion statement promised by the contract. A highly sophisticated formula is of little use if the relevant figures cannot be produced credibly from the target's books.
