Competition & AntitrustLEGAL ANALYSIS

Does a joint venture need competition approval?

A joint venture in Pakistan can require clearance from the Competition Commission of Pakistan where it constitutes a notifiable merger or acquisition under section 11 of the Competition Act, 2010 and the applicable Merger Control Regulations. The phrase joint venture does not by itself decide whether approval is required. A full-function, lasting business jointly controlled by its parents may qualify, while an ordinary short-term collaboration can have different treatment. Even where merger notification is unnecessary, an agreement between competitors can raise separate section 4 concerns.

The legal structure matters

A contractual consortium, incorporated SPV, jointly controlled operating company and minority investment are not identical. Obtain the signed or proposed agreement, governance rights and business plan.

The merger analysis should begin with what the parties actually create and control rather than the heading on a memorandum of understanding.

Section 11 of the Competition Act

Section 11 governs merger control where relevant statutory conditions are met. The parties must determine whether the arrangement is a merger or acquisition within the applicable framework.

A company cannot avoid mandatory clearance by using a different label for a transaction that substantively transfers or creates control.

Full-function joint ventures

CCP's official merger guidance identifies joint ventures involving shared resources, joint control and autonomous operation on a lasting basis as relevant to merger analysis.

A project vehicle with independent personnel, contracts and economic functions can present a different case from a temporary bid cooperation arrangement that never operates independently.

Joint control

Control may arise from shareholding and governance rights, including vetoes over strategic business decisions, depending on applicable law.

A fifty-fifty equity split is not the only possible route to joint control. Conversely, a small financial investment without relevant control rights may have different treatment.

Notification thresholds

The Competition (Merger Control) Regulations prescribe financial and transaction thresholds. CCP's official guidance currently describes combined asset, turnover and transaction or voting-right conditions.

Before signing or closing, calculate the thresholds under the operative regulation. Do not rely on figures from an older presentation without checking amendments and the correct accounting entities.

Assets and turnover

The business should identify the legal persons whose assets and revenue count for the notification analysis.

The calculation may involve parents, targets and relevant group undertakings. A startup SPV with negligible initial revenue does not automatically make a transaction exempt if parent-level thresholds apply.

Transaction value and voting rights

The notification test can also concern value of transaction or acquired voting interests, subject to regulatory formulation.

A party should not assume that subscribing for new shares rather than purchasing existing shares removes all merger control obligations.

Pakistan nexus

Foreign companies may be subject to merger review where they do business in or affect Pakistan under the applicable rules.

Creating a joint venture outside Pakistan does not invariably avoid CCP jurisdiction where substantial Pakistani market effects or business operations exist.

Clearance before completion

Where the transaction is notifiable, parties should follow the prescribed prior approval process and avoid implementing control prematurely.

Closing conditions should include CCP clearance. The parties should distinguish signing an agreement from actually combining competing operations.

Information needed in an application

Prepare ownership charts, financial statements, market descriptions, competitors, transaction documents and other prescribed particulars.

Incorrect market shares or incomplete ownership information can delay consideration. An independent regulatory memo should identify assumptions and data sources.

Relevant market and competition effect

CCP may examine whether the venture reduces competition, creates or strengthens dominance or otherwise raises concerns.

A joint venture combining complementary technologies may raise different issues from competitors combining their principal businesses in a concentrated market. The authority should examine actual economic effects.

Coordination between parents

Even if a JV receives merger clearance, its parents should not treat it as permission to coordinate unrelated pricing or customer allocation.

Information exchange outside the legitimate scope of the venture can still raise section 4 concerns. Governance and confidentiality controls should limit access to strategically sensitive parent data.

Clean teams and due diligence

Before clearance, competing parents may need to exchange some information for valuation or integration planning. Sensitive pricing or bid details should be handled through appropriately restricted advisers where necessary.

Ordinary business managers should not obtain unnecessary competitor strategy merely because negotiations have started.

Scope of the JV agreement

Define objectives, products, territories, independent resources and decision-making authority accurately.

A venture formed solely to divide markets between its parents may present different risks from a genuinely productive enterprise. The statutory assessment follows commercial substance.

Exemptions and exclusions

Merger regulations may contain exceptions for specified intra-group or other transactions. Their availability depends on precise conditions.

A transaction should not be described as exempt based only on common shareholders where the legally relevant control situation has changed.

An industrial JV example

Two manufacturers form a Pakistani company to build a new plant and operate it independently over several years. They appoint a joint board and contribute resources.

The companies should assess full-function status, financial thresholds and relevant market effects. If notification is required, clearance should precede implementation.

A short project example

Two contractors cooperate on a single government tender and retain their own operations. This may not always constitute a merger-type joint venture, depending on control and duration.

The arrangement can nonetheless raise procurement and section 4 issues if the parties would otherwise compete or exchange sensitive prices outside a genuine need for joint performance.

Remedy and conditional approval

CCP may have powers concerning approval, conditions or prohibition according to law. The parties should understand potential commitments and their commercial impact.

A clearance letter should be read carefully to identify the exact authorised transaction and any continuing conditions.

Opinion and recommended course

A genuine joint venture may require CCP pre-merger clearance where section 11 and applicable thresholds are triggered. Assess control, autonomy, longevity, parties' financial size and Pakistan effects before implementation. Separately review section 4 risks from coordination and sensitive information exchange, even if no merger filing is necessary.
