Immigration & Cross-Border MobilityLEGAL ANALYSIS

What happens if a foreign director's Pakistani visa expires?

If a foreign director's Pakistani visa expires while the person is in Pakistan, the director may face immigration compliance and travel consequences even though the individual continues to hold a valid corporate appointment under the Companies Act, 2017. Appointment as director, registration with SECP and permission to remain in Pakistan are separate legal matters. The company should promptly assess the actual visa conditions, expiry date, eligibility for extension and whether the person's current activities require a work or other authorisation. An expired visa is not automatically cured by a board resolution.

Identify the director's immigration category

A foreign investor, non-executive director and salaried chief executive may have different activities and immigration classifications. Determine whether the individual holds a work, business or other entry permission and what it authorises. Attendance at occasional board meetings may not present the same factual situation as daily management of operations. The correct category should reflect actual duties, not merely the designation entered in SECP filings.

Confirm exact expiry and location

Obtain the passport, electronic visa approval, arrival stamps and extension history. Determine whether the person remains in Pakistan, has already departed or is attempting to re-enter. The legal consequences of expiry while abroad can differ from overstaying in Pakistan. The company should record the actual dates rather than rely on an HR spreadsheet that has not been updated after a passport change.

Use the proper extension channel

The Board of Investment's published work visa guidance distinguishes extension applications for persons holding valid visas while residing in Pakistan. Other categories have separate rules and current portal requirements. Where the permission has already expired, the applicant should seek official advice on the lawful available route rather than assume the ordinary extension button remains valid. Fees, penalties and discretionary consideration may depend on the governing immigration directions.

Corporate office does not confer residence

A person may remain appointed as director of a Pakistani company while ordinarily residing outside Pakistan, subject to company law and any sector-specific conditions. Directorship is not a substitute for entry or work permission. A foreign shareholder owning a majority stake likewise does not gain unrestricted residential status solely through investment. The company should separate corporate eligibility from immigration compliance.

Board meetings and governance

If the director cannot lawfully remain in Pakistan or travel for meetings, review the Companies Act, articles and lawful electronic participation or quorum arrangements. Certain decisions may require presence, signatures or regulatory approval under the relevant provisions. The board should not invent minutes stating that the director attended physically when they were abroad. Valid meeting procedure can preserve governance continuity while immigration issues are addressed.

The difference between director and CEO

A director may also serve as chief executive officer, employee or authorised account signatory. These roles carry distinct contracts, powers and regulatory duties. If an expired visa prevents lawful performance of employment duties in Pakistan, the company may need temporary authorised management arrangements. Cessation of travel permission does not automatically terminate a valid directorship, nor does it necessarily end an executive contract without reviewing its terms.

SECP filings and identification

Corporate records may identify the director's passport and address. Where passport particulars change or a director resigns, applicable reporting requirements must be followed. The company should not file an inaccurate cessation form merely to conceal an immigration problem. A statutory directorship change should reflect a genuine legal event, supported by minutes and required declarations. Immigration compliance and SECP reporting should be coordinated but not conflated.

Regulated-sector fit-and-proper requirements

Financial services, banking and other regulated businesses may impose residency, management or suitability conditions on directors and key officers. A visa issue could affect an officer's ability to satisfy those separate requirements. Review licence terms and regulator communications. A commodity broker or finance company should not assume the Companies Act alone governs who may act as chief executive or compliance officer while immigration status is unresolved.

Employment and payroll

A foreign director receiving salary for services in Pakistan may create payroll and tax obligations independent of visa status. The Income Tax Ordinance, 2001 requires analysis of residence, income source and withholding. The company should continue lawful accounting and avoid paying through concealed channels to disguise physical activity. Any suspension of duties or contract change should be documented under the appropriate employment arrangement.

Bank and signing authority

A foreign director may be an authorised bank signatory. The company should assess whether urgent business payments can continue through other valid mandates if the individual must leave Pakistan. The expiry of a visa does not automatically invalidate every corporate authority instrument, but practical signature and identity requirements may be affected. Any replacement signatory should be authorised through actual board action and recorded with the bank.

Effects on dependent family members

A spouse or child may hold immigration status related to the director's own permission. An expiry can affect the family's lawful stay or renewal route. Each dependent's visa validity should be checked separately. The company should not assume a principal applicant's problem either immediately terminates every family permission or automatically extends it. Official confirmation may be needed before further travel.

Immediate compliance steps

Identify the actual overstay period, preserve visa correspondence and contact the authorised immigration channel for available regularisation or departure guidance. Avoid concealing travel history or submitting misleading documents. A company representative can provide a genuine sponsorship letter but should not backdate an appointment or invent work duties. Prompt lawful engagement usually provides a better record than relying on an unverified intermediary.

An overseas investor example

A foreign investor serves as non-executive director of a Pakistani manufacturing company and visits for quarterly meetings. The visa expires while the investor is abroad. The company should determine the appropriate permission for any next visit, rather than assume existing SECP directorship automatically authorises entry. It may continue lawful governance through permitted remote participation where the articles and statute allow.

A resident CEO example

A foreign chief executive works daily in Lahore on a time-limited employment permission. The visa expires before an extension is filed. The company should assess immigration consequences promptly, identify how executive duties can be lawfully performed and review any regulator notifications. It should not simply continue ordinary in-country employment on the theory that the person remains a director. The corporate contract and immigration permission must both be addressed.

Resignation or replacement

If the person elects to resign from the board or the company lawfully changes directors, report the actual cessation or appointment according to current SECP procedure. The board should also update bank mandates and delegated powers. Such steps should be taken for genuine governance reasons, not as an attempt to rewrite the earlier immigration history. Any outstanding contractual payments and tax records should be reconciled.

Opinion and recommended course

A foreign director's expired visa creates an immigration issue that cannot be solved merely by corporate status. Determine the permission and exact expiry, follow official extension or regularisation procedure and adjust in-country duties lawfully. Preserve valid board governance, banking authority and SECP records while addressing any separate regulated-sector and tax obligations.
