Service overview
Annual return obligations concern the company's statutory snapshot; applicable exemptions depend on company type and whether particulars changed.
Filing deadlines and exemptions depend on company type, share capital, business activity, licensing status, trigger events and the version of the current forms. An obligation should be assessed for each entity rather than assumed universally applicable.

Annual corporate returns: distinguish Form A, exemptions and event-based changes
Primary-source research note. The following procedural analysis is based on the identified government or regulator sources. Confirm enacted amendments, applicable forms, fees and filing requirements on the date of submission. A consultation draft is not operative law merely because it has been published. This note does not represent final legal-editor certification of the entire guide.
Different returns serve different purposes
Section 130 of the Companies Act, 2017 governs the annual return which supplies a yearly snapshot of members, management, office and capital. SECP's annual-return guidance distinguishes Form A for companies with share capital from Form B for those without share capital. An annual return does not replace event-based filings for changes in officers, capital, office address or ownership.
Check the company's status and exemption
SECP's guidance describes conditional exemptions for an SMC or qualifying private company with paid-up capital not exceeding PKR 3 million when no relevant particulars have changed, and a no-change notification for certain other companies. The correct rule depends on the actual company and the effective Companies Regulations. Do not infer an exemption from filing financial accounts, UBO declarations or other periodic and event returns.
File using the current forms
SECP's July 2026 forms index includes Form A, Form 9 for officers, Form 3 for shareholding/allotments and Form 19 for UBO compliance. Some older SECP annual-return explanatory text still calls the officer return Form 29. Use the forms currently prescribed in the Companies Regulations and eZfile process. Confirm the applicable AGM event, reporting deadline, approved signatory and any newer 2026 amendments before filing.
Calendar and audit trail
Keep an integrated compliance calendar for AGM, annual return, financial accounts, officers, UBO particulars and licensed-entity reporting, with a separate ledger for ad hoc changes. Reconcile the prior year's return against registers and financial records. Preserve accepted electronic receipts and any registrar notices, rather than treating upload as confirmed filing.
