Filing deadlines and exemptions depend on company type, share capital, business activity, licensing status, trigger events and the version of the current forms. An obligation should be assessed for each entity rather than assumed universally applicable.

UBO disclosure: control tracing, Forms 16–19 and centralised SECP registry

Primary-source research note. The following procedural analysis is based on the identified government or regulator sources. Confirm enacted amendments, applicable forms, fees and filing requirements on the date of submission. A consultation draft is not operative law merely because it has been published. This note does not represent final legal-editor certification of the entire guide.

Identify the human beneficial owner

Section 123A of the Companies Act, 2017 addresses ultimate beneficial ownership. The Companies Regulations prescribe inquiry and disclosure mechanisms which go beyond merely recording the immediate shareholder or a corporate nominee. A multilayer or foreign ownership structure requires a defensible ownership and control tracing exercise, and an initial share-register entry is not proof of ultimate beneficial ownership.

Use the prescribed notices and declarations

SECP's forms catalogue identifies Form 16 as notice seeking particulars, Form 17 as a declaration by a member and Form 18 for changes in UBO particulars. The Companies Regulations FAQs describe the company sending notices and recording declarations, with differentiated deadlines according to the statutory event. Always check whether a particular shareholder/control threshold or exemption applies under the effective amended provisions before adopting a standard template.

Current reporting and Form 19

SECP's July 2025 press release introduced a centralised corporate UBO registry, requiring information for financial years ending on or after 30 June 2025 through eZfile. Its July 2026 forms index lists Form 19 for compliance with section 123A. The regulations describe a company declaration following receipt of ownership particulars and additional periodic reporting. The effective trigger and filing window must be determined for the actual company under current amendments, not assumed from older FAQs alone.

Maintain an evidential trail

Keep the notices, responses, signed declarations, chain-of-ownership charts, beneficial-owner register, Form 19 submissions, company register and documentation supporting identification. New shares, transfers, changes in holding companies or voting control may require refreshed inquiries and filings. UBO reporting is distinct from global beneficial ownership reporting and anti-money-laundering customer due diligence, though records may need to be reconciled across them.
