Service overview
Private-equity and venture-capital fund management requires SECP authorisation; separate fund registration can follow.
A company certificate does not itself authorise a regulated business. Depending on the activity, SECP may require prior formation permission, incorporation, a separate operational licence, and continuing financial and fit-and-proper compliance.
Who is eligible for Private Equity & Venture Capital Fund Management Licence?
Sponsors need an eligible private-fund management vehicle, management experience, capital and investor-protection systems.
The promoter must satisfy private-fund manager eligibility with capable investment personnel and capital, while prospective fund investors and offering structure must meet the private fund rules rather than retail public-offering rules.

Private fund management company licence and separate fund registration
Primary-source research note. The following procedural analysis is based on the identified government or regulator sources. Confirm enacted amendments, applicable forms, fees and filing requirements on the date of submission. A consultation draft is not operative law merely because it has been published. This note does not represent final legal-editor certification of the entire guide.
Manager permission
SECP treats a Private Fund Management Company as an NBFC for private-equity and venture-capital services. Its official process separates formation NOC, incorporation and operating licence. The manager must not treat incorporation as permission to offer private fund investment products.
Dedicated documents
SECP publishes a 2025 PE/VC category checklist. Prepare promoter ownership and fit-and-proper information, lawful source of funds, management experience, investment strategy and conflicts controls. Compare the correct checklist against the Private Fund Regulations, 2015 and current NBFC framework.
Private fund registration
SECP says that following PFMC licensing, the proposed private fund must separately be registered as a notified entity. For a trust structure it identifies a trust deed and private placement memorandum; an LLP structure involves the LLP agreement, memorandum and custodian agreement. Prepare and review the actual structure rather than substitute ordinary company articles.
Continuing compliance
Maintain fund custody, investor-eligibility, valuation, capital-call, disclosures and reporting controls as applicable. Verify applicable private placement restrictions, approvals and licence or fund fees before fundraising.
