Private limited company: structure and legal basis
A private company limited by shares is incorporated under the Companies Act, 2017. It is a legal person separate from its members. Liability limited by shares ordinarily concerns unpaid subscribed capital; it does not remove personal guarantees, directors' statutory obligations or liability for misconduct. A certificate of incorporation is the legal evidence of registration; opening an eZfile account or paying a challan is not incorporation.
Section 14(1)(b) permits two or more persons associated for a lawful purpose to form a private company. Section 154 ordinarily requires at least two directors for a private company other than a single-member company. A business with one genuine owner should examine the separate SMC route, while a public offer of shares requires an appropriate public-company structure.
The operative procedural framework is the Companies Regulations, 2024, read with the Act as amended. SECP's current incorporation procedure uses eZfile and Form-1. The older Companies (Incorporation) Regulations, 2017, still cited on some legacy pages, should not be used as the current primary procedural authority.
Incorporation does not confer permission to undertake regulated financial services, securities brokerage, insurance, electronic-money services, overseas recruitment, security services or another licensed activity. Determine whether prior sector permission is needed before selecting a company name or filing route.
Final S.R.O. 1974(I)/2026, signed on 26 October 2026, amended the definition of 'registrar concerned' in regulation 2(1)(xxxvii) to include an SECP-designated registrar for special classes of companies. The ordinary territorial registrar rule remains; the amendment does not move every filing to Islamabad or change incorporation eligibility.
Who may incorporate and when a different route is required
Pakistani individuals and corporate shareholders
There must ordinarily be at least two genuine subscribers and the legally required first directors. Subscribers may be natural persons or eligible bodies corporate, acting through authorised representatives. Record the first chief executive, share subscriptions, beneficial ownership and principal business before any filing is signed. A corporate subscriber requires evidence of its own legal existence and an authorising board resolution or equivalent instrument.
Overseas and foreign participants
Foreign shareholders and directors are not automatically excluded, but regulation 19 imposes additional identification, certified corporate records, undertakings and security-clearance requirements. A foreign company subscriber normally supplies its certificate, constitutional documents, authorising resolution and particulars of its representatives. Depending on the source jurisdiction, consular authentication or an accepted apostille route may apply. Overseas NICOP holders and foreign passport holders should follow their distinct eZfile verification instructions.
Regulated activities and restricted names
Regulation 8(3) of the Companies Regulations, 2024 expressly excludes the combined name-reservation/incorporation facility for a business subject to a licence, registration, permission or approval under its sector law. Such applicants should establish the required prior formation order, NOC or other authorisation and use the appropriate separate process. A proposed name containing regulated expressions such as 'Bank', 'Trust', 'Payment' or 'Islamic' requires examination under section 10 and regulation 5; name search availability is not regulatory permission.
Documents and particulars to prepare
Regulation 8 differentiates the separate Form-1 route from the online combined route. The following is a conditional evidence checklist, not an assertion that every attachment applies to every company.
- Identity: valid CNIC or NICOP for Pakistani subscribers, directors, first chief executive and other relevant officers; valid passport for foreign nationals; current residential and contact details.
- Ownership: number and class of shares subscribed by each member, authorised and subscribed capital, identity of beneficial owners and the relevant direct or indirect control chain under regulation 13.
- Company particulars: up to three proposed names, principal line of business, registered or correspondence address, email, financial year, first directors, first chief executive and declarant.
- Constitutional documents: memorandum and articles. The combined online route uses system-generated documents and Table A articles under regulation 10; a separate application may adopt Table A or submit bespoke articles when required.
- Corporate subscriber: registration particulars, the board's authority to subscribe, and identity of the natural-person signatory. An LLP subscriber must establish the designated partner's authority.
- Foreign subscriber: regulation 19 documents, undertaking, certifications and any required translation, consular authentication or accepted apostille.
- Regulated company: applicable NOC, licence, formation order or permission, and evidence supporting any restricted company name.
- Physical application: prescribed witness identity, a duly executed and notarised authority letter where required, and original payment evidence. Regulation 14 dispenses with a physical witness for electronic incorporation filings.
Use the current official Form-1 and eZfile prompts. Retain copies of every document actually submitted; a generic incorporation checklist is not a substitute for a sector-specific legal review.
How to register a private limited company: step by step
These steps follow the Companies Act, 2017, the Companies Regulations, 2024 and SECP's current promoter and eZfile instructions. They are for a company limited by shares; licensed businesses must first check their distinct authorisation requirements.
- 01Confirm the structure
Record two or more actual subscribers, at least the statutory minimum board, the first chief executive, share classes, authorised and subscribed capital, principal business and a workable registered-office address. Decide whether Table A articles are suitable or bespoke governance terms are required.
- 02Screen the business against sector regulation
Check the activity and name against the Companies Regulations, 2024 and the relevant sector law. If a licence, registration, permission or approval is needed, regulation 8(3) prohibits use of the combined name-and-incorporation facility. Obtain the appropriate NOC or formation permission and prepare for separate filing.
- 03Search and reserve the name
Check section 10 and regulations 3 and 5 for similarity, deception and restricted words. A separate name reservation uses App-1; up to three names can be proposed in priority order. If approved, the availability letter reserves the name for 60 days. A search-result screenshot is not an approval.
- 04Create eZfile subscriber accounts
Use the official eZfile portal. Each individual subscriber required to sign should register and complete the prescribed verification and PIN procedure. For foreign users and overseas NICOP holders, check the additional identity, proof-of-stay and authentication instructions in the SECP promoter guide.
- 05Complete Form-1 and constitutional documents
For an already reserved name, use the 'Start a LLP/Company' incorporation route. For an ordinary eligible company, the combined route may be available. Enter sector, principal objects, capital, subscribers, directors, first chief executive, address and beneficial ownership. Include corporate board authorisations and regulation 19 foreign documents where relevant.
- 06Reconcile and electronically sign
Check spelling and identity numbers, share totals, director eligibility, authorised capital, UBO particulars and memorandum and articles. The required subscribers must apply their electronic PINs. The statutory declaration is made by an authorised intermediary or an eligible person named as proposed director, as provided by section 16.
- 07Submit, pay and preserve evidence
Submit through eZfile, save the application identifier and pay the official generated charge through an authorised payment channel. The SECP calculator depends on nominal share capital and does not include every possible additional charge. Confirm the current Seventh Schedule and transaction-specific challan rather than using an undated fee estimate.
- 08Respond to deficiencies and collect the certificate
Monitor the regulator's messages. Regulation 15 generally provides seven days from written deficiency communication to correct discrepancies, with a reminder sequence before possible refusal. On acceptance, download the QR-coded certificate and final documents. A refusal of name or incorporation may have a statutory 30-day appeal route under sections 10(6) or 16(9), respectively.
- 09Implement post-incorporation controls
Arrange the bank account, subscription-capital evidence, statutory registers, FBR credentials and other registrations actually applicable. Obtain any separate operating licence before commencing a restricted activity. Preserve all filed documents, correspondence and proof of payment.
Regulation 8(3) expressly withholds the combined eZfile name-reservation and incorporation route from businesses that require separate licensing, registration, permission or approval under their governing law. A formation order or sector NOC is not the same as the final licence to carry on business.
What the company must do after incorporation
Incorporation is the beginning of compliance. Establish the register of members, director and officer records, minutes, accounting books, share and transfer records, and a reliable document archive. Check the Companies Act's rules for receipt of subscriber share money and the associated evidence and reporting. Do not confuse initial subscriber shares with later allotments that may require their own return.
Assess the annual return under section 130 and the Companies Regulations, 2024. SECP distinguishes Form-A for a company with share capital from Form-B for one without share capital. Its current annual-return guidance provides different treatment where a private company has no changes in the relevant particulars, including an exemption category for smaller private companies. The actual paid-up capital and whether information changed must be checked before deciding not to file.
Director, chief executive and other officer changes, registered-office changes, capital events, annual accounts and ultimate beneficial ownership information each have distinct filing requirements. Regulation 48A and the applicable UBO forms must be considered for direct and indirect ownership or control, not only the names in the share register.
eZfile may transmit information to FBR and offer integration with provincial labour and social-security bodies. Such integration should not be mistaken for confirmation that every sales-tax, provincial services-tax, employer, premises, municipal or sector registration has been completed. Verify the relevant tax and operating status directly with the competent authority.
The final October 2026 amendment to 'registrar concerned' recognises SECP designation of a registrar for a special class or category. If a company falls within such a designation, retain the relevant order and follow the applicable filing channel; otherwise the ordinary territorial jurisdiction remains relevant.
Fees, deadlines, processing expectations and objections
Government charges: the fee is governed by the current Seventh Schedule and any subsequent notified changes. SECP's incorporation fee calculator estimates the capital-dependent registration component and warns that other charges, including name availability, are additional. Confirm the actual eZfile payment reference, the filing mode and any certified-copy or optional service charges. This guide does not quote a fixed amount because the charge depends on the application.
Reserved name: under regulation 3, the registrar may reserve an approved name for 60 days from the availability letter. Incorporation documents and payment evidence must be filed within that period. A separate reservation is not perpetual, and a name may still be refused if the legal criteria are not met.
Deficiency notice: regulation 15 requires written communication of deficiencies and ordinarily allows seven days for a response, followed by the prescribed reminder process. Keep the actual notice and date of service. Under section 10(6) an aggrieved applicant may appeal refusal of the name within 30 days; section 16(9) provides a 30-day appeal against refusal to register the company.
Processing times: regulation 78 and Annexure-J prescribe administrative timeframes subject to complete compliance, prior NOCs, technical conditions and disputes. No same-day outcome should be promised merely because a portal or brochure mentions a target.
Common avoidable objections: name similarity, restricted terminology without consent, use of the combined route for a licensed activity, inconsistent director or subscriber identities, unauthorised corporate signatories, missing foreign-document certification, mismatched capital figures, incomplete beneficial-ownership information, or missing electronic signatures.
Practical legal checks before filing
Ordinary two-founder consultancy: check that both subscribers are genuine owners, verify the minimum board, settle share subscriptions and business objects, and confirm that no sector licence is needed. The combined eZfile application may be appropriate only when the conditions in regulation 8(3) are satisfied.
Proposed financial-services firm: identify whether the activity is an NBFC, securities broker, adviser, payment service or another regulated undertaking. Obtain the relevant formation order or permission and follow the separate incorporation process. The certificate of incorporation does not authorise regulated operations.
Foreign corporate subscriber: obtain the foreign company's certified constitutional records, certificate of incorporation, board authorisation, identification of the signatory and the required undertaking. Verify whether consular authentication or apostille is legally accepted for the particular source country. Do not copy a domestic founder's document checklist.
Before business commencement: reconcile the issued certificate, final memorandum and articles, bank and tax records, capital evidence, register of members, directors, UBO information and any sector-specific licences. Preserve the original filed materials and SECP correspondence for later due diligence.
Research and review status: the material above is based on original official instruments and SECP procedural guidance. Independent lawyer/editor signoff on a client's particular circumstances has not been represented as complete; check any later official notification before filing.
Governing law and original regulatory materials
Principal provisions include sections 10, 14, 16, 17, 18, 26, 130, 154, 157 and 197 of the Companies Act, 2017, as amended, read with regulations 3, 5, 8–19, 48A and 78 of the Companies Regulations, 2024. The SECP consolidated regulations available in April 2026 incorporate amendments up to July 2025; later notifications must be read alongside that consolidated version.
The one-page S.R.O. 1974(I)/2026 signed on 26 October 2026 is an enacted amendment, not a consultation draft. It substitutes regulation 2(1)(xxxvii), allowing the Commission to designate a registrar for a special class or category of company while preserving the territorial registrar limb. The September 2026 S.R.O. 1774(I)/2026 was the prior draft, not the final operative text. This amendment does not independently change the prescribed fee, subscriber threshold or the combined-filing restriction in regulation 8(3).
For a regulated business, the specific sector law, current licence rules and regulator's own checklist must be checked in addition to incorporation law. For a foreign shareholder, regulation 19 and any relevant security-clearance instructions require particular attention. The following links lead directly to official SECP publications and forms.
