Public limited company registration: what incorporation does—and does not—authorise

Pakistan's Companies Act, 2017 allows three or more persons associated for a lawful purpose to form a public company by subscribing to its memorandum and completing registration. For an ordinary unlisted public company limited by shares, the minimum board is three natural-person directors. A listed company has a different minimum board and is subject to additional securities and governance requirements. These are distinct legal statuses; “public limited” in the name does not mean that its securities are listed or that an offer to the public has been approved. See sections 14, 154 and 157 of the Companies Act, 2017.

A public limited company is appropriate where the promoters require a public-company structure, contemplate a future listing or are entering a sector that requires this corporate form. It is not automatically preferable to a private limited company. Its company secretary, meetings, financial reporting and governance obligations can be materially more demanding. Before selecting the structure, establish whether the business is ordinary commercial activity, a regulated financial institution, a public-sector enterprise or a company intending to raise capital through an offer of securities.

Two separate legal milestones matter. The certificate of incorporation creates the company as a body corporate under section 18. For a newly incorporated public company with share capital, section 19 imposes a further commencement-of-business condition before operations or borrowing powers may be exercised, subject to its express exceptions. This guide therefore covers both incorporation and the additional commencement step rather than treating the certificate as a universal authority to begin trading.

02

Promoters, directors and activity-specific eligibility

Ordinary unlisted public company

At least three subscribers under section 14, with not fewer than three directors under section 154. The first directors and first chief executive must be identified in the incorporation particulars under regulation 12. A company secretary is required for a public company under section 194.

Listed or specially regulated company

A listed company requires at least seven directors under section 154 and further applicable corporate-governance rules. Banking, insurance, NBFC, securities, exchange and other licensed activities require their own legal eligibility and approval route; a normal incorporation application does not replace those licences.

Each proposed director must be a natural person and must be screened against the disqualifications in section 153. Directors and subscribers are not interchangeable roles: a corporate body may subscribe to shares through an authorised natural-person representative, but cannot itself occupy a director's seat. The company should also identify its chief executive, beneficial owners and any controllers whose particulars must be disclosed under regulation 13.

Foreign subscribers. Foreign individuals and foreign bodies corporate are not automatically excluded, but regulation 19 requires additional identity, constitutional and authentication material and addresses Ministry of Interior security-clearance arrangements. A foreign corporate subscriber should supply its charter, certificate of incorporation, current directors' particulars, board authority for subscription and appointment of representative, and the prescribed undertaking. Authentication may require consular certification or a qualifying apostille. The exact route depends on the country of origin and the current government security policy.

Restricted objects and names. Regulations 5 and 9 prohibit or condition specified names and regulated activities. Terms suggesting banking, insurance, investment finance, brokerage, an exchange or government association may require evidence of prior consent. Regulation 8(3) expressly withholds the combined name-reservation/incorporation facility where the proposed business is subject to a separate licence, registration, permission or approval under the relevant law. Use the separate application route where that condition applies; do not attempt to bypass it by selecting a generic business description.

03

Application documents and conditional evidence

Build one controlled filing set before entering the SECP portal. For a separate incorporation application, regulation 8(2) of the Companies Regulations, 2024 prescribes Form-1, the memorandum, articles where required, and identity and other supporting evidence. The combined route generates constitutional documents electronically under regulation 8(3), subject to its restrictions. The following are distinct categories of evidence, not a universal checklist for every applicant:

  • Corporate structure: proposed name and alternatives, public-company status, principal line of business, registered-office particulars, authorised and subscribed capital, shares allotted to each subscriber, memorandum and proposed articles or an election to adopt the applicable statutory table.
  • Individuals: valid CNIC/NICOP for Pakistani subscribers, first directors and first chief executive; valid passport and regulation 19 material where a foreign national participates; reliable contact and correspondence details.
  • Governance: names and particulars of at least three first directors, first chief executive, the proposed company secretary, subscriber authorisations, and consents or declarations required by the current prescribed filing method.
  • Entity subscribers: board resolution authorising the share subscription and representative, the representative's identification, and any corporate constitutional evidence; for an LLP subscriber, authority of the designated or empowered partner under regulation 8(2)(ix).
  • Foreign corporate or individual participation: certified foreign incorporation and constitutional documents, ownership chain, directors' particulars, passport copies, Annexure-S undertaking and authentication under regulation 19, where applicable.
  • Regulated or restricted business: the competent regulator's NOC, permission, licence, letter of intent or other pre-incorporation consent where required by regulations 5 and 8.
  • Physical filings only: witness identification, notarised authority letter and paid challan or other evidence of payment as required by regulation 8(2). Electronic filings are authenticated through the prescribed digital process.

For beneficial ownership, regulation 13 requires further information where a subscriber holds at least 25% of shares, voting rights or controlling interest on behalf of another person, including through indirect control. Trace the ownership chain to the natural persons who ultimately own or control it; do not simply record the first corporate shareholder as the beneficial owner. Where no natural person is identifiable through the prescribed test, the regulation addresses the relevant senior managing official.

Where the company's proposed articles contain pre-emption rights, voting thresholds, reserved matters, nominee arrangements or bespoke share classes, do not assume that the portal-generated standard articles adequately express the bargain. Review the lawful constitutional route and the current SECP filing mode before adopting them.

How to incorporate a public limited company in Pakistan

  1. 01
Classify the entity and regulatory activity

Record whether the applicant is an unlisted public company, a company limited by guarantee, a listed-company candidate, or a regulated business. Identify sector permissions and restricted name elements first. If the business needs a separate licence or approval, do not use the combined filing route prohibited by regulation 8(3).

  2. 02
Agree subscriber, board and capital particulars

Confirm at least three subscribers, the minimum board of three natural persons for an unlisted public company, the first chief executive and proposed company secretary. Prepare the share-allotment table, authorised capital, business description and registered-office details. Screen director eligibility and identify ultimate beneficial owners.

  3. 03
Choose and clear the proposed name

Apply through SECP eZfile using separate App-1 name reservation or, where legally available, the combined name/incorporation facility. Under regulation 3, the applicant may propose up to three names in order of priority. A separate reservation is valid for 60 days; file incorporation and pay the applicable fee within that period. A name-search result is not a registrar's approval.

  4. 04
    Prepare Form-1 and constitutional instruments

Use the current Form-1 particulars and memorandum/articles method permitted by regulations 8 to 11. For a separate filing, supply the memorandum and articles where required; for an eligible combined electronic filing, the system generates the prescribed documents. Have every relevant subscriber or authorised representative authenticate the application and reconcile the information against the underlying records.

  5. 05
    Attach conditional evidence and submit

Upload identity documents, foreign-subscriber materials, corporate authority resolutions, NOCs and any activity-specific documents. Use the current SECP portal instructions and pay the actual system-generated challan or prescribed statutory fee. Retain the submission acknowledgement, payment proof and complete signed application file.

  6. 06
    Resolve registrar observations

Regulation 15 permits the registrar to call for corrections. It provides an initial seven-day period from written communication for removing discrepancies, with reminders and potential refusal if deficiencies remain. Monitor the eZfile account and registered contact details rather than assuming an application will be approved without correspondence.

  7. 07
Receive and verify the incorporation certificate

Under regulation 16, the registrar issues the certificate after registration of the memorandum and supporting documents. Check the legal name, public-company classification, registered-office record and incorporation number. Retain the approved constitutional documents. A fee receipt or portal acknowledgement alone is not the certificate.

  8. 08
    Complete the separate commencement-of-business requirements

For a newly incorporated public company with share capital, apply section 19 before commencing operations or exercising borrowing powers: verify minimum subscription and receipt of the required cash, directors' payments on their subscribed shares, absence of repayable public-subscription money, and the verified declaration by the chief executive or director and secretary. If no prospectus was issued, the Act requires a statement in lieu of prospectus. Obtain the registrar's acceptance/registration of the relevant documents. Check the express section 19(4) exceptions rather than treating every public company identically.

  9. 09
    Implement the first-year compliance calendar

Arrange the company secretary, auditor, registers, tax and business registrations, statutory meeting or applicable exception, annual general meeting, annual return, financial statements and sector reporting. If a public securities offering or listing is intended, pursue the separate Securities Act, Public Offering Regulations and exchange procedures before solicitation.

Practical filing control

Maintain a source-and-evidence schedule identifying the legal basis for every required item, the document owner, expiry date, signature method and whether it is conditional. Reconcile the name, shareholding, beneficial ownership and first-officer particulars across Form-1, constitutional documents, resolutions and eZfile. The regulator's live checklist and statutory forms govern the actual submission.

After incorporation: public-company obligations

Do not overlook commencement. Section 19 is separate from section 18 incorporation. Its requirements and exceptions should be assessed before the company begins business or exercises borrowing powers; section 20 addresses the consequences of breach and the provisional nature of certain pre-commencement contracts.

First auditor. Section 246(1) requires the board to appoint the first auditor within 90 days of incorporation; the first auditor retires at the conclusion of the first annual general meeting. The auditor's qualifications and subsequent appointment rules must also be checked under sections 246 and 247. A public company must have a company secretary under section 194, whose qualification is subject to the applicable requirements.

Statutory meeting. Section 131 generally requires a public company with share capital to hold its statutory meeting within 180 days after entitlement to commence business or within nine months of incorporation, whichever is earlier. A first annual general meeting held earlier can displace that statutory meeting. Section 131 also contains a specific conversion exception; the statutory report, auditor's report and 21-day notice requirements should be scheduled if the meeting is required.

Annual general meeting and return. Under section 132, the first AGM is generally due within 16 months after incorporation and subsequent AGMs once each calendar year within 120 days following the financial-year close, subject to applicable exceptions and extensions. Section 130 generally requires an annual return within 30 days of the AGM (or the statutory reference date where none is held), subject to the no-change filing regime and applicable listed-company provisions. Confirm the latest prescribed Form-A and electronic return process before filing.

Registered office and corporate records. Section 21 requires the registered-office notification within 30 days after incorporation and notice of change within 15 days, subject to its special-resolution requirements for certain relocations. Maintain the register of members, directors/officers, beneficial ownership and charges where relevant, together with minutes, accounting records, financial statements and audit evidence. Filing and disclosure obligations increase if the company becomes listed, a public-interest company, a public-sector company or a sector-regulated entity.

Separate operational permissions. SECP incorporation is not tax registration, an employment authorisation, a municipal trade licence, an industrial approval, a financial-services licence or permission to offer securities. Identify the competent authorities for the actual activity and place of business. Local tax and labour obligations may differ among Islamabad Capital Territory, provinces and other jurisdictions.

F

Government fees, deadlines and processing expectations

The legally applicable SECP fee is governed by the Seventh Schedule to the Companies Act, 2017 as amended, not by an informal fixed package price. SECP lists an updated schedule dated 20 April 2026 and provides an incorporation fee calculator. The total depends on factors including authorised capital, electronic or physical submission, whether name reservation is separate, and any additional statutory applications. Obtain the current official eZfile challan and reconcile it with the SECP Seventh Schedule and incorporation fee calculator before paying. Professional fees, stamp duty where applicable and separate sector charges are not the same as SECP incorporation fees.

Statutory time periods that must be diarised: a separate reserved name is normally valid for 60 days under regulation 3; an applicant initially has seven days to cure registrar-notified incorporation deficiencies under regulation 15; the first auditor is appointed within 90 days of incorporation under section 246; registered-office notice is due within 30 days under section 21; the public-company statutory meeting and AGM deadlines are addressed under sections 131 and 132. These are legal filing or governance periods, not promised processing times.

The registrar may seek additional documents, refuse an application following the prescribed procedure or require a sector NOC. SECP's published administrative service standards are not a guarantee that a particular file will be completed within a stated number of hours. For foreign investors and regulated businesses, allow for authentication, security checks and external approvals. A legal opinion on the exact transaction should identify any extension, exception or superseding notification relied upon.

Legal verification, amendments and original sources

This guide has been substantively rewritten from SECP's primary law and procedural instruments. It distinguishes the certificate of incorporation under section 18 from the commencement-of-business restrictions under section 19, and separates an unlisted public company from a listed issuer. The legal-editor review of the finished publication remains outstanding; this status is not a claim that a practising lawyer independently signed off every sentence.

Enacted regulations and later notices. The Companies Regulations, 2024 were notified through S.R.O. 201(I)/2024. SECP's available consolidation is updated through 25 July 2025; it must be read alongside subsequent final notifications. SECP's S.R.O. 1974(I)/2026, signed 26 October and published 30 October 2026, substitutes the definition of “registrar concerned” in regulation 2(1)(xxxvii), including a Commission-designated registrar for a special class or category. It does not itself create a new incorporation fee or waive the public-company commencement conditions. Proposed amendments and consultation papers are not treated as enacted law merely because they appear on SECP's website.

Scope limits. This guide addresses an ordinary public limited company formed in Pakistan. It is not a complete licence manual for an NBFC, bank, insurer, securities issuer, public-sector company or Section 42 association. The precise regulatory permission, beneficial-ownership chain, foreign-investor authentication and applicable local registrations must be resolved against the applicant's facts. Confirm any notifications made after the source texts listed below before filing.

Common questions about Public Limited Company Registration

How many shareholders and directors does an unlisted public limited company need?

Section 14 of the Companies Act, 2017 requires at least three subscribers to form a public company. Section 154 requires at least three natural-person directors for an unlisted public company; a listed company has a minimum of seven directors.

Can a newly incorporated public company immediately begin trading or borrow?

Not necessarily. Section 19 of the Companies Act, 2017 imposes minimum-subscription, payment, declaration and, where relevant, statement-in-lieu-of-prospectus requirements before operations or borrowing. Its express exceptions must be checked. Incorporation under section 18 is a separate milestone.

Can a public company use the combined SECP name and incorporation application?

An eligible ordinary company limited by shares may use the combined eZfile facility. Regulation 8(3) of the Companies Regulations, 2024 excludes companies whose proposed business requires a separate licence, registration, permission or approval under the applicable law.

What continuing filings are especially important for a public company?

Appoint the first auditor within 90 days of incorporation, arrange a company secretary, assess the statutory meeting under section 131, hold AGMs under section 132 and file the annual return under section 130. Listed and sector-regulated companies have additional requirements.
