What a single-member company is—and what it is not

A single-member company (SMC) is a registered company with one member, ordinarily limited by shares, formed under section 14(1)(c) of the Companies Act, 2017. It has legal personality separate from the sole shareholder. It is not the same as a sole proprietorship: contracts, assets, debts, books, statutory filings and company decisions must be dealt with in the company's own legal capacity. Limited liability does not eliminate responsibility for unpaid subscribed shares, guarantees, statutory defaults or misconduct.

The SMC route allows one member and, under section 154, ordinarily one director. The sole member must nominate a person for the statutory succession-protection role. That nominee is not an automatic co-owner and does not inherit the company's shares merely because of the nomination. The nominee acts to protect legal heirs and facilitate transmission after the member's death in accordance with the applicable succession law.

Incorporation is governed by the Companies Act, 2017 and the Companies Regulations, 2024, including regulation 17 on SMCs and regulation 8 on filing. SECP's current eZfile system supports a single-member company as a distinct company kind. The old 2017 incorporation regulations should not be substituted for the 2024 regulations.

Registration does not itself license a restricted business. If the proposed SMC is to conduct an activity requiring a licence, registration, permission or approval, regulation 8(3) excludes the combined name-and-incorporation application. A separate sector authorisation and the correct incorporation route must be identified.

02

Sole member, first director and nominee eligibility

One owner and director

For the ordinary natural-person route, one eligible individual subscribes for the shares, identifies the first director and chief executive and provides the prescribed identity and company information. A company with two genuine shareholders should use the ordinary private-company route rather than treating one as an undisclosed beneficial owner. If a body corporate is proposed as sole subscriber, assess the current SECP guidance, corporate authorisation, beneficial ownership and nominee mechanism specifically rather than assuming the natural-person checklist applies unchanged.

Nominee must satisfy the statutory relationship test

Section 14(1)(c) requires a nominee and regulation 17(2) incorporates the criteria in section 79(3). The nominated person must be a qualifying relative of the member: spouse, father, mother, brother, sister, son or daughter. The nominee's function is to manage as trustee and facilitate lawful transfer to heirs after the member's death. It is not a mechanism to override inheritance law or to appoint an unrelated business associate as the statutory nominee. Obtain the nominee's correct identity and consent evidence required by SECP.

Foreign involvement and restricted activities

A foreign individual, overseas NICOP holder or foreign corporate subscriber may require additional evidence under regulation 19, including certified identity or corporate documents and security-clearance procedures. A special regulated activity may require prior formation permission and cannot use the ordinary combined eZfile facility. Confirm restrictions on names, the proposed principal line of business and whether another company structure is required by the sector regulator.

03

SMC incorporation documents and conditional evidence

The SMC application uses Form-1 under regulation 8, with the additional nominee particulars required for a single-member company. Prepare the documents by applicant type and by filing mode.

  • Sole subscriber: valid CNIC or NICOP, or passport for a foreign individual, with residential address, email, contact number and eZfile authentication details.
  • Nominee: valid identity document and the particulars and consent required by SECP, including evidence or declaration sufficient to establish the statutory qualifying family relationship where requested.
  • First management: first director and chief executive particulars, their identification, eligibility and prescribed declaration. The sole member may be the director, subject to applicable legal conditions.
  • Company information: proposed name options, principal business, authorised and subscribed capital, number and denomination of shares, registered or correspondence address and financial-year information.
  • Constitutional documents: memorandum and articles consistent with SMC status and the relevant First Schedule form. A combined online application uses eZfile-generated constitutional documents, while a separate filing must comply with regulations 8–11.
  • Foreign or corporate sole subscriber: regulation 19 identity, authorisation and attestation requirements, plus documents showing the corporate subscriber's legal existence and empowered signatory where applicable.
  • Restricted business: prior NOC, licence, letter of intent or formation permission required by the relevant sector regulator, and evidence supporting restricted terminology in the name.
  • Physical filing: witness identity, prescribed authority letter and payment evidence where applicable; regulation 14 generally removes the physical-witness requirement for electronic incorporation documents.

Do not use a nominee's name as a substitute for the sole member's ownership or omit the actual beneficial-owner information. The nominee's statutory trusteeship function and beneficial ownership are legally different concepts.

04

How to incorporate an SMC through eZfile

The steps below combine the Companies Regulations, 2024 with SECP's current promoter guide. They are not a substitute for sector licensing or any special requirements for a foreign or corporate sole subscriber.

  1. 01
Choose SMC rather than an ordinary private company

Confirm that one person is to be the sole member and decide the first director, chief executive, share capital and business objects. Where two people are actual shareholders, do not conceal the second ownership interest behind an SMC nominee.

  2. 02
    Identify an eligible statutory nominee

Select a spouse, parent, sibling, son or daughter meeting section 79(3). Record accurate nominee identity and obtain the prescribed consent. Explain to the nominee that the role is a trustee function on death and does not supersede legal heirs' succession rights.

  3. 03
Check the proposed activity and restricted name

Review section 10 and regulation 5. If the business requires a licence, registration, permission or approval, do not use the combined application under regulation 8(3). Obtain the relevant formation permission or NOC and follow the separate filing route.

  4. 04
Reserve the company name where needed

Use SECP's eZfile name process or separate App-1. Up to three names may be proposed in priority order. A successful separate reservation lasts 60 days from the availability letter under regulation 3. A preliminary name search does not establish approval.

  5. 05
    Register the applicant's eZfile identity

Use the SECP eZfile portal and the applicable citizen, NICOP or foreign-user verification procedure. The promoter guide describes PIN-based authentication. Avoid using an intermediary's credentials in place of the actual subscriber's identity.

  6. 06
    Complete Form-1 and SMC-specific particulars

Select single-member company as the company kind; enter the business activity, objects, share capital, registered-office details, sole subscriber, first director, chief executive and nominee information. Provide additional foreign or corporate subscriber records where required and check the system-generated constitutional documents.

  7. 07
    Sign, submit and pay

Check all identity numbers, names, family relationship, share totals and corporate particulars. Apply the required electronic signatures, submit and preserve the application ID. Pay the amount generated under the current Seventh Schedule and SECP fee calculator rather than an unverified fixed figure.

  8. 08
Answer objections and receive the certificate

Respond to the registrar's written observations in the applicable period. Regulation 15 generally provides seven days from a deficiency notice, followed by reminders and possible refusal. Once approved, obtain the certificate of incorporation and final filed documents.

  9. 09
Put the company into lawful operation

Open the corporate bank account, arrange subscription-money evidence, statutory registers, tax credentials and any necessary sector licence. Preserve the nominee details and establish a process for changes, succession and conversion if the membership later expands.

05

SMC obligations, succession and change of status

An SMC remains subject to corporate law. Keep statutory and accounting records, document decisions of the sole member and director, maintain registered-office and beneficial-ownership information, and comply with applicable financial statement, tax and other regulatory obligations. Do not treat the absence of a second shareholder as an exemption from recordkeeping.

The nominee's role is particularly important. Under section 14, on the sole member's death the nominee protects the interest of legal heirs, facilitates transfer and acts as trustee until succession is implemented. If shares pass to more than one heir, the company must address conversion out of SMC status in accordance with section 47. The nominee should not be presented as a substitute for succession certification or the rights of heirs.

Where the sole member voluntarily introduces a second shareholder or a transfer/allotment otherwise increases membership, review the change-of-status provisions and amended constitutional documents before registering the transaction. An SMC should not continue indefinitely with more than one member while using an SMC certificate and articles.

SECP's annual-return guidance recognises different filing treatment for SMCs where there is no change in particulars. Determine whether a return, no-change declaration or exemption applies on the facts; director, chief executive, nominee and other officer changes still need the prescribed filing. Under the 2024 regulations, Form-9 addresses officer and nominee changes, while UBO information must be dealt with under the applicable requirements including regulation 48A.

eZfile's integration with FBR and other authorities does not remove the need to verify actual NTN, sales-tax, provincial services-tax, labour, social-security, municipal and sector registrations. The final October 2026 amendment to 'registrar concerned' may affect a specially designated class of companies, but ordinary territorial jurisdiction remains unless a relevant designation applies.

How the SMC rules apply in practice

One-person consultancy: where the founder is the only member, the SMC route may be appropriate. Select a qualifying relative as nominee, identify the first director and chief executive, and keep the company's money and contracts distinct from personal dealings. A nominee should not be entered as a second shareholder merely to complete the application.

Nominee and succession: the nominee protects the rights of legal heirs and manages as trustee pending transmission. The nomination does not override Islamic succession rules or the applicable personal law of a non-Muslim member. If more than one heir becomes a member, address conversion under section 47 instead of allowing an SMC to operate indefinitely with multiple members.

Foreign or corporate ownership: the Act and SECP guidance recognise more complex subscriber situations. A proposed foreign or corporate sole member requires case-specific confirmation of the permitted structure, regulation 19 documents, identity verification and nominee arrangements. Do not infer from the existence of an SMC category that all corporate ownership structures are automatically acceptable without review.

Restricted activity: a single-member company is not a regulatory shortcut. A proposed NBFC, broker, payment service or other licensed enterprise must establish the sector permissions and use the separate incorporation route where regulation 8(3) applies.

Editorial status: this guide is supported by the cited primary law and regulator-issued procedural materials. Independent legal-editor approval of an individual client's circumstances remains separate, and any later SECP notification must be checked at the filing date.

06

Government charges, statutory periods and common objections

Fees: incorporation charges are governed by the Seventh Schedule and applicable amendments. The SECP fee calculator estimates the share-capital-dependent component but may exclude name reservation and other optional charges. Verify the actual generated challan, filing mode and current schedule. No fixed fee is stated because the applicant's capital and selected service affect the amount.

Name reservation: a separate name availability letter ordinarily reserves the approved name for 60 days under regulation 3. The application and payment evidence must be filed within that period. A name search is not the same as a reservation.

Deficiencies: regulation 15 generally allows seven days after written notice to remedy filing deficiencies, followed by reminders and potential refusal. Under sections 10(6) and 16(9) of the Companies Act, a name or incorporation refusal respectively may be appealed within 30 days of the order. Record the actual date and contents of the communication.

Common SMC-specific objections: nominating a person outside the statutory family list, failing to provide the nominee's identity, inconsistency between the sole member and beneficial ownership, using a combined filing for a regulated business, missing foreign-subscriber evidence, incomplete authentication or mismatched capital and officer particulars.

Timing: regulation 78 and Annexure-J prescribe conditional administrative processing timeframes. Prior NOCs, incomplete documentation, technical problems and disputed matters may affect them. No processing duration is guaranteed merely because a portal shows a submission date.
